[0:00:52, 0:00:54]: Uh for present. [0:00:55, 0:01:15]: Okay, so four out of seven members, so that does constitute a quorum. So I think we can go ahead and uh start the meeting. And also for the record, um we have also with us the uh participants, um Lisa Fareed with the Main Street Advisory Board, and uh Mr. Alan Peterson, who is the economic developer. [0:01:15, 0:01:18]: public director and Vanessa Holiday. [0:01:18, 0:01:20]: Сити клеркої сервінка [0:01:21, 0:01:26]: our recording uh secretary. So thank you everybody. Thanks for being here. [0:01:26, 0:01:46]: Um we'll go ahead and start off with the top of the agenda, which is to approve today's uh meeting agenda. Uh Bob sent these first to the group on March sixth email, but uh then it was uh sent again without any further changes on March 11th. So I'll uh take a motion to approve today's meeting agenda. [0:01:49, 0:01:51]: I I move that we approve the uh the the meeting agenda. [0:01:52, 0:01:52]: Right? [0:01:54, 0:01:54]: A second. [0:01:57, 0:01:57]: Thank you, Art. [0:02:00, 0:02:04]: And uh we'll go ahead and call uh any discussion on today's agenda. [0:02:08, 0:02:09]: Yeah. [0:02:10, 0:02:20]: And uh Samiqua and Barber, I see you just joined. We just did roll call but right now we're we're approving today's meeting agenda. Um did you have any um comments? [0:02:22, 0:02:22]: I'm sorry. [0:02:23, 0:02:26]: Oh, I I will I will add them as as being present. I'm sorry. [0:02:27, 0:02:28]: Okay, great, thank you. [0:02:29, 0:02:29]: Um [0:02:31, 0:02:32]: Any discussion about the agenda? [0:02:35, 0:02:44]: Not seeing any, so we will uh we'll do a hand vote if that's all right with everyone. So everyone in favor of approving today's agenda, show your hand. [0:02:47, 0:02:47]: All right. [0:02:51, 0:02:52]: Any opposed? [0:02:54, 0:02:56]: All right, so it looks like that's unanimous. [0:02:57, 0:03:12]: Thank you. And uh we'll move on to the next item, which is the approval of the February meeting minutes, February 16th. Uh Bob sent those on February twenty-third. Vanessa, thank you for taking the minutes for us. Um any um [0:03:13, 0:03:15]: Any discussion about the meeting minutes from February? [0:03:19, 0:03:28]: I'm not seeing or hearing any. Uh so we'll move on to a vote and same uh same drill. So all the uh well actually I'll take a motion to approve. [0:03:29, 0:03:31]: The meeting minutes for February sixteenth. [0:03:33, 0:03:36]: Uh s I I I move that we approve the meeting minutes for February sixteenth. [0:03:37, 0:03:38]: Second. [0:03:39, 0:03:40]: Well, what? [0:03:41, 0:03:41]: Yeah. [0:03:42, 0:03:44]: That was Council McGantt who seconded. [0:03:44, 0:03:45]: Uh no. [0:03:46, 0:03:47]: Barber, which [0:03:47, 0:03:48]: Oh, thank you, Barber. [0:03:51, 0:03:52]: All right. [0:03:53, 0:03:55]: Any further discussion? [0:03:56, 0:04:02]: All right, by show of hands, uh we'll raise our hands if you approve February's meeting minutes. Um [0:04:05, 0:04:08]: All right, I think that's unanimous. Thank you everybody. [0:04:09, 0:04:12]: All right, we'll proceed with the meeting. So um [0:04:13, 0:04:21]: So the first on the top of the agenda, I'm gonna go ahead and share my screen. I've I've shared with you all some information on the um [0:04:23, 0:04:33]: Uh directors and officers insurance. Um let me bring up the uh I I have it on a summary slide to show with you. Uh bear with me just a moment, let me get that ready. [0:04:33, 0:04:34]: Yeah. [0:04:35, 0:04:36]: I think it helps. [0:04:37, 0:04:38]: Uh score. [0:04:42, 0:04:44]: Okay, this one. [0:04:47, 0:04:48]: Sorry, I don't have it ready. [0:04:50, 0:04:50]: Here it is. [0:05:03, 0:05:03]: Right. [0:05:05, 0:05:14]: So if someone can confirm you can see the uh slide. So this was the agenda, but this is really the slide I want to get to, which is the directors and officers insurance. [0:05:14, 0:05:25]: So there's a um just to clarify where we are, this is an annual renewal for our directors and officers insurance. The current premium is uh about fifteen hundred dollars. [0:05:25, 0:05:32]: We were presented with some options. Um, I looked through it, I've shared some information with the the board. [0:05:33, 0:05:36]: I also got some feedback from attorney McCrae. [0:05:37, 0:05:41]: Um and I'm trying to make this a little bit bigger. I can see someone you're trying to [0:05:41, 0:05:42]: have trouble saying it. Um [0:05:45, 0:05:57]: Employment practices, even though in an earlier message I said that you know we should consider adding this, it's really just based on discrimination or sexual harassment uh for employment practices. We we don't [0:05:58, 0:06:10]: Of course, we're volunteer board and we don't hire anyone, although those events could occur either through ourselves or vendors that we represent. So it's it's worth considering. [0:06:10, 0:06:26]: The prices I had provided I will make clear that they are estimates based on a previous quote that was given to the DDA a few years ago. So these are these may go up or down, these may change once we get an actual quote. [0:06:26, 0:06:30]: Uh so that's on the table for consideration, this one item. [0:06:31, 0:06:43]: Fiduciary sounds like it's more necessary than it is, but it's really specific to employment benefit plans, which we do not administer in any way. So my recommendation is to decline that coverage. [0:06:44, 0:06:46]: Um cyber [0:06:46, 0:06:55]: This one, Mr. McCray did suggest that we consider the previous estimate was for eight hundred and fifty nine dollars. I'm not sure what the cost would be now. [0:06:56, 0:07:03]: And then lastly, there's the option of crime coverage, which covers things like theft, embezzlement, and those types of things. [0:07:04, 0:07:15]: Um I am interested in that because you know of course we do have a fund balance that the DDA manages. So, you know, there is often you know, where there's assets, there's opportunity for those assets to be misused. [0:07:15, 0:07:16]: And um [0:07:17, 0:07:23]: That was previously quoted at eight hundred and fifty nine dollars. These are all annual uh prices, by the way. [0:07:24, 0:07:36]: And uh but it was for a lower amount. And I'm not quite sure I couldn't tell from the information that I was given whether that amount was uh the coverage was at the ten thousand dollar level or the twenty five thousand dollar level. [0:07:36, 0:07:54]: Um we roughly manage assets around the hundred thousand dollars as far as our bank accounts and and for transactions it could represent an even higher amount. So um I'm suggesting maybe we at least get an estimate at the hundred thousand dollar amount and consider the uh you know the crime coverage. [0:07:55, 0:08:01]: So let me pause here for any thoughts or discussion on the um on the insurance renewal. [0:08:06, 0:08:10]: Any questions, any thoughts on any of those items, which way we go? [0:08:11, 0:08:13]: Yes, these options that we have here. [0:08:14, 0:08:25]: Are these this would be the new premium, for example, if we went with the three suggestions here, those three costs would be the total cost of the new premium or in addition to the current premium rate? [0:08:26, 0:08:32]: I'm interpreting this these are add-ons that these these are add on coverages that we do not currently have. [0:08:32, 0:08:33]: Um [0:08:33, 0:08:38]: I'm assuming that it would be in addition to the fifteen hundred that we're already paying. [0:08:45, 0:08:47]: Other thoughts or questions? [0:08:48, 0:09:02]: Yeah, I I'm I I guess I I'm just not sure and I it's of course it's the smallest figure there, but I'm just not sure that we would need since we don't have employees, that we would need discrimination or sexual harassment uh liability. I mean [0:09:03, 0:09:06]: I I I could I I could argue that both ways, but [0:09:06, 0:09:07]: Right. [0:09:09, 0:09:20]: Yep, I I agree as as well. I I I'm I'm on the fence on that one. At first I dismissed it and then later on I thought, Okay, well there's there's there's potential exposure there, but it's it's probably [0:09:21, 0:09:26]: Of the ones on here, I mean, you know, y you know, it's probably a low risk. [0:09:26, 0:09:37]: You could argue that with some of these, but all of them, but uh, you know, it's just a matter of it's just like that's how insurance works. You really don't know the risk or exposure. But you know, we again we don't we don't [0:09:38, 0:09:38]: Mm-hmm. [0:09:39, 0:09:41]: It's a volunteer board, we don't interact. [0:09:41, 0:09:52]: individually with each other all that much. I mean, uh so it's not like a workplace where you're eight hours every day, five days a week, where there's more opportunity for those things to occur. [0:09:54, 0:09:56]: Is it possible for any [0:09:56, 0:09:58]: Board member to [0:10:00, 0:10:01]: I guess um [0:10:02, 0:10:06]: That someone could claim discrimination or sexual harassment by a board member. [0:10:06, 0:10:08]: Acting on behalf of the board out. [0:10:08, 0:10:09]: And out in the public. [0:10:11, 0:10:19]: I suppose that's possible. You mean just you m you mean a in as far as in our duties of carrying out the duties of the D DA [0:10:20, 0:10:31]: Could there be a claim of harassment or discrimination in and in that in that effort and in in our in service to the D I suppose I suppose that's true and I think that's what this would cover. [0:10:33, 0:10:39]: Um, did attorney McRae give any more guidance regarding his suggestion for the cyber coverage? [0:10:41, 0:10:42]: What's the exposure there? [0:10:42, 0:10:44]: Yeah, I can I [0:10:45, 0:10:52]: Not sure if I sent that email or not. It came a little bit later after I sent this to the board. So I can send you his comments, but it he didn't really give [0:10:53, 0:10:55]: A lot more clarity other than he's [0:10:55, 0:10:57]: generally concerned about [0:10:57, 0:10:58]: Cyber [0:10:59, 0:11:00]: Um but that's [0:11:00, 0:11:01]: You know, I mean [0:11:02, 0:11:09]: You know, I m my thoughts on that as well, you know, we if we what's the worst case scenario here? We get hacked. [0:11:10, 0:11:15]: All of our records are my my n my initial inclination to that was to decline it because [0:11:15, 0:11:35]: The large majority of the work that we do is already public record. You know, our our meetings are open to the public, our records are open to the public, with little exception, you know, we do have closed meetings when under certain, you know, rules under the Open Records Act. But outside of that there I I didn't see the high probability of exposure now, you know. [0:11:35, 0:11:37]: Maybe we could get hacked and [0:11:38, 0:11:41]: I I don't know what the scenarios are where that would [0:11:42, 0:11:45]: di you know uh service so [0:11:46, 0:11:46]: Oh [0:11:47, 0:11:50]: Good good observation there because I I kinda had the same thinking. [0:11:52, 0:11:54]: And then the crime coverage that [0:11:55, 0:12:03]: The suggestion is to at least get covered up to the amount of assets that we normally have custody over, i.e., the bank account. [0:12:05, 0:12:05]: Is that [0:12:06, 0:12:08]: Kinda where we're going there. [0:12:08, 0:12:17]: Yeah, and that was my thinking and pardon me, I have an error here. This is this was previously quoted at two hundred, not eight fifty nine. That was a copy paste error. [0:12:17, 0:12:24]: So but it it's likely gonna be higher if we cover it at a hundred thousand or you know, at a higher amount. [0:12:26, 0:12:33]: Any thoughts on that hundred thousand dollar whether that you know, if we were to consider crime coverage, whether that's [0:12:33, 0:12:35]: Enough or too much? [0:12:41, 0:12:42]: I probably [0:12:42, 0:12:44]: I probably should have done this earlier, but I I'm [0:12:44, 0:12:46]: I probably want to. [0:12:47, 0:12:51]: be more clear about exactly what that coverage entails. Um [0:12:52, 0:12:56]: So I'll I'll go back and read that information, but um [0:12:57, 0:12:59]: I'm not just on the surface, I'm not really sure. [0:13:00, 0:13:01]: What we're covering. [0:13:02, 0:13:03]: Right, right. [0:13:03, 0:13:15]: There is some information on what I did send you previously. I think I sent you our current policy and then some information on the application for a renewal, which includes some, you know, basic amounts and stuff. [0:13:16, 0:13:36]: As far as you know, even if we ask for a quote on the renewal for all of these, we don't have to take them all. Right. So I I would kind of recommend we um go ahead and ask for um you know a a quote. It'd be good to have that information. There's no reason not to. And [0:13:36, 0:13:43]: Uh but in order to do that, Barber, we're gonna need the you know, the balance sheet and income statement. And I know you're just kind of [0:13:44, 0:14:04]: Getting getting uh for for twenty twenty'cause that's part of what they ask for when we submit our request for renewal. So I'll need to work with you on that and then we can submit the r application for renewal. And then I'll I'll I'll send this information via email once we get the quotes from the insurance company, but we have to make a decision by April twenty third. So we're gonna have to [0:14:03, 0:14:05]: But um [0:14:06, 0:14:26]: Um I I'm Yeah. Probably gonna have to do this via email as far as um you know deciding what if we change our coverage or just renew. I I don't I don't know that this will require a board decision per se as far as in a public meeting because we're already covered. It's just a matter of renewing it and which you know whether we add or remove it. [0:14:26, 0:14:33]: of any particular elements. Um uh so I guess I'll I'll note two things, which is [0:14:33, 0:14:36]: to um send the information that mister McCrae [0:14:37, 0:14:40]: had uh his comments and feedback'cause I don't think I shared that with you all. [0:14:41, 0:14:44]: And um of course supply for the renewal. [0:14:45, 0:14:51]: And then I'll find out from Mr. McCrae if we have to have a meeting in order to make a decision on whether we change the premium or not. [0:14:56, 0:14:58]: Okay, any other questions or discussion? [0:15:01, 0:15:02]: All right. [0:15:02, 0:15:07]: We'll move on to the next item, which is the uh joint planning for the Main Street board. [0:15:08, 0:15:08]: Um [0:15:09, 0:15:23]: I sent out a survey, uh let me bring this back down, uh, just to see we're coordinating between the two groups, the Main Street Advisory Board and the DDA, and of course we all have other uh responsibilities, so it's all it's our hard to nail down a date. [0:15:23, 0:15:26]: Um so we did get twelve responses on the survey. [0:15:27, 0:15:33]: Um there's no one date that is open for everyone. So I'll I'll say that uh up top. [0:15:33, 0:15:37]: But it does appear and I know it's hard to see, but th these the this is the uh [0:15:37, 0:15:57]: Uh May 15th date, the May 22nd, and June 12th. The green lines mean that the people who responded are available. The blue lines indicate the people who responded are not available. So those are the three dates where there's the most availability and the least conflict. [0:15:57, 0:16:13]: Um I'll share this with uh Kira and Lisa and then we'll get we'll you know we'll find out from Main Street um you know what date's gonna fit the best. We're kind of looking at an all-day Saturday. It would be a um facilitated [0:16:13, 0:16:33]: uh meeting uh where we would come prepared with the ideas that we would have for um priorities for collectively between uh Main Street and the DDA and how we can support each other to meet our you know respective goals um and you know revitalize the downtown of course. [0:16:33, 0:16:45]: Any thoughts on the dates? Just I just wanted to share where we were on the responses we'd received so far and any questions about what this meeting is intended to be for. [0:16:46, 0:16:49]: Or any thoughts about the availability of dates, I'll just open it up for discussion. [0:16:51, 0:16:54]: I'm open to any of the dates, any of the Saturdays, so [0:16:54, 0:16:55]: Great. [0:16:55, 0:16:57]: Thank you, Art. So am I. [0:16:58, 0:16:58]: Thank you. [0:17:00, 0:17:04]: I'm good for everything but May fifteenth that's uh Mother's Day weekend, so I'll be out of time. [0:17:06, 0:17:06]: Do you know uh [0:17:08, 0:17:14]: All right, yeah, I do s is that may I thought we I thought we stayed away from that from other state. I could be wrong. Let me check. [0:17:15, 0:17:21]: It looks close. Maybe it's not. If it's not then I'm It's May ninth. Yeah. We purposely stayed away from Mother's Day. [0:17:21, 0:17:22]: And I'm good for all of them. [0:17:22, 0:17:23]: All right, great. Thank you. [0:17:25, 0:17:26]: All right, any other discussion? [0:17:28, 0:17:36]: All right, then I think that moves us to the next item on the agenda, which is uh treasure updates. I'll leave it there. I'll stop sharing my screen. [0:17:37, 0:17:38]: Oh okay. [0:17:39, 0:17:45]: So far it's still pretty um nothing new with the exception of um well let me just start with the account balances. [0:17:46, 0:17:47]: А форки. [0:17:48, 0:17:55]: We have um for the facade grant ninety-four thousand nine hundred seventy-two dollars and five cents. [0:17:55, 0:18:02]: We did go ahead and transfer the fifty thousand dollars out of operating into the facade grant account uh last month. [0:18:03, 0:18:10]: Did that left the operating account with forty-seven thousand four hundred four dollars and sixty-one cents. [0:18:10, 0:18:12]: So between the two accounts, the total [0:18:13, 0:18:20]: Checking balances that we have here is$142,376 and 66 cents. [0:18:20, 0:18:30]: In the month of February, there were no transactions other than the transfer of the$50,000 facade grant from operating to that particular account. [0:18:30, 0:18:35]: Um, we had total liabilities that were brought over from 2020. [0:18:36, 0:18:41]: That totaled one thousand eight hundred twenty six dollars and two cents. [0:18:42, 0:18:46]: Of that balance, 830 belonged to TS, well was due to TSW. [0:18:47, 0:18:57]: for work they done for the master plan. And then the remaining amount was due to the city of Stockbridge for Georgia Downtown Conference, DDA training. [0:18:57, 0:19:07]: And reimbursements for some victory trophies invoices for um name badges and and various supplies like that that they ordered on our behalf. [0:19:08, 0:19:17]: Uh as of today, you won't see it reflected here, but as of today, all of those outstanding invoices have been paid, but you'll see that on next month's financial reports. [0:19:18, 0:19:18]: So [0:19:19, 0:19:26]: I will entertain anyone's questions regarding that, but so far very minimal activity. [0:19:28, 0:19:30]: Nothing exciting right now. [0:19:32, 0:19:37]: Miss Richardson? Yes. What what was the total uh balance that we have now? [0:19:37, 0:19:45]: Infund balance for both accounts or per account? Yes. Both account. Well, I think it was ninety thousand for the [0:19:45, 0:19:47]: What was it? Ninety two for the [0:19:48, 0:19:49]: Okay, there we go. [0:19:50, 0:19:54]: I apologize. Barber sent this to me prior to the meeting and I forgot I had it. [0:19:55, 0:19:55]: That's okay. [0:19:56, 0:20:00]: You got it? Okay. Okay. So the total what's the total? [0:20:01, 0:20:05]: in our account total I'm sorry, the total balance remaining. [0:20:06, 0:20:11]: One hundred forty two thousand three hundred seventy six dollars and sixty six cents. [0:20:11, 0:20:13]: That's the total between both bank accounts. [0:20:14, 0:20:14]: Thank you. [0:20:15, 0:20:16]: Yes, no problem. [0:20:21, 0:20:22]: Um [0:20:23, 0:20:28]: Yeah, as far as I know, the only outstanding liability, well, we it's not a liability yet, but uh [0:20:28, 0:20:31]: Obviously the insurance premium, the insurance renewal. [0:20:31, 0:20:36]: It's the only other anticipated expense that um that I'm aware of at this time, but [0:20:37, 0:20:37]: Um [0:20:38, 0:20:39]: Other than that. [0:20:39, 0:20:40]: Nothing. [0:20:42, 0:21:00]: I'll I'll mention to that point, um, you know, we have been utilizing the services of uh attorney McCrae, and while a larger portion of that is related to the um transaction, the Silvain transaction, there are some portions where he did services for the DDA itself. So I expect that there'll be some cost. [0:21:00, 0:21:02]: that we'll be encouraging with that. [0:21:03, 0:21:06]: Okay. Do we know when we'll when he'll start billing us? [0:21:07, 0:21:10]: I do not. I will try to find that out as well. [0:21:11, 0:21:12]: Mr. Custon. [0:21:12, 0:21:20]: Yes. Do you know the amount of the bill from the D D uh that he has built to the city of Stockbridge? [0:21:20, 0:21:31]: I do not have that amount yet. And but the you know, it's not done yet as far as, you know, we haven't closed yet. So his serv his services have not c been concluded for that particular transaction. [0:21:32, 0:21:33]: But he builds it. [0:21:33, 0:21:35]: What is it, four hundred an hour? [0:21:37, 0:21:45]: Um I'll have to find that. Um I that's a prox that's it's in the ballpark of what I recall, yes. [0:21:46, 0:21:46]: Okay. [0:21:48, 0:21:49]: Thank you. [0:21:51, 0:21:58]: I just had a question about the victory trophies. These are something the city's ordered, uh, on our behalf. Victory for [0:21:59, 0:22:03]: Yeah, for like our name tags and um [0:22:05, 0:22:15]: What a Vanessa, can you help me out here with in terms of I don't have the invoice directly in front of me with with the various but it's it's all the things that we get like our name badges and [0:22:15, 0:22:22]: That's all. That's the only thing from them. Okay. So so I guess the victory trophy is a good thing. That's the only thing that it's ordered from them. [0:22:24, 0:22:30]: Yeah. Yeah. I think I think there were some recognition plaques for the phone board members. [0:22:30, 0:22:39]: At the end of the year. Oh, okay. Okay. Okay. Yeah, the city pays good just goes ahead and and takes care of that bill and then we reimburse the city for our portion. [0:22:39, 0:22:42]: Okay. All right. Great. Thank you. [0:22:44, 0:22:45]: Mm-hmm. [0:22:46, 0:22:48]: Any other questions for Barber? [0:22:52, 0:23:07]: Not seeing or hearing any, so uh we will move on to the next agenda item. Bar I first of all let me just say I cannot thank you enough, Barber, for the service you've given to the DEA. You've done a tremendous amount of work just getting the account set up. [0:23:08, 0:23:28]: with uh the zero accounting and and and with the online banking and getting us caught up with all the invoices and payments that were uh pending from the previous um treasurer. So thank you for your work. I really appreciate your service. And with that we'll move on to um Secretary Updates. Mr. [0:23:28, 0:23:29]: Mr. Schweiber, do you have anything for the group? [0:23:30, 0:23:35]: Uh no, I I've I've I I've archived the the [0:23:35, 0:23:38]: various invoices and the completed um [0:23:38, 0:23:42]: uh Reggie Sylvain uh restaurant uh [0:23:42, 0:23:45]: The the ICA and the um um [0:23:46, 0:23:49]: the the contract away that that's been completely signed and so [0:23:49, 0:23:51]: That is uh stored in our archives. [0:23:52, 0:23:53]: Great. [0:23:55, 0:23:56]: Any questions for Bob? [0:24:01, 0:24:17]: All right, we will move on uh to the Main Street Advisory Board updates. Um so that is uh both the joint um uh both uh uh Lisa is here from Main Street, representing Main Street, as well as uh Barber who's the liaison. So Lisa, I'll turn it over to you first. [0:24:18, 0:24:20]: Good evening, everyone. [0:24:20, 0:24:21]: [1462.2, 1463.4]: Good to see you all. [0:24:23, 0:24:31]: Um I I spoke to Kira earlier today and asked her if there were any things she wanted me to uh inform you all of or [0:24:32, 0:24:36]: Make you abreast of and actually she says no, you know, um [0:24:37, 0:24:39]: Whatever projects we spoke to you about. [0:24:40, 0:24:51]: recently are still going on. And of course everything is a little bit slower these days. So we actually do not have any worthy updates to give for the Main Street program at this time. [0:24:56, 0:25:01]: All right, thank you, uh Lisa and um Barber, anything to add to that? [0:25:03, 0:25:03]: Nope. [0:25:05, 0:25:06]: Nothing to add. [0:25:07, 0:25:13]: Okay. And just uh Mr. Sears, he's you he's with us, Mr. Sears. Are you able to hear us now again? [0:25:21, 0:25:22]: Good. [0:25:22, 0:25:25]: He was he had chatted that he was having trouble with the audio. [0:25:29, 0:25:30]: Right. Um [0:25:31, 0:25:33]: Vanessa, did you have a question? [0:25:34, 0:25:35]: I say Henry's. [0:25:37, 0:25:45]: I was just going to note for the record that Mr. Sears had actually joined the meeting while you were giving your chairman's comments. [0:25:45, 0:25:46]: Thank you. [0:25:47, 0:25:47]: That's how. [0:25:48, 0:25:49]: Oh yeah. [0:25:49, 0:25:50]: All right, very good. [0:25:51, 0:25:58]: All right. Uh then we'll move on from the main street advisor board updates to the uh facade grant updates. So [0:25:58, 0:26:00]: I'm sorry, go ahead, Mr Sears. [0:26:08, 0:26:17]: He had put in the chat that he did we lose the sound. So he can't hear us. I mean, I I don't know if he can hear us or we can't hear him. I'm not sure. [0:26:18, 0:26:27]: Yes, I did reply to him um that uh we have audios and to check the settings and alternately um he could uh dial in the phone number. You have it now? [0:26:28, 0:26:34]: Yes, we hear you. Yeah, yeah, I j I checked the audio, I had to do a a test on it, so it finally came true. [0:26:35, 0:26:39]: All right. Ver very good. Thank thank you. Appreciate you being here. [0:26:41, 0:26:43]: Did you have anything you wanted to say, Mr. Sears? [0:26:44, 0:26:51]: No, the dates were uh I was I was good with the dates, I was just listening, but I you know and uh after Barber spoke, then uh my audio went quiet. [0:26:52, 0:27:01]: All right. Very good. Yeah, after if you said anything after that I can't agree on it, so don't hold me accountable. All right. [0:27:01, 0:27:09]: Noted. Okay, very good. All right, we'll move on to the uh facade grant update. Uh uh Mr. Christian, the floor is yours. [0:27:10, 0:27:10]: Certainly. [0:27:11, 0:27:15]: So I did speak with uh Toshina at Fletcher and Sons, who's uh [0:27:15, 0:27:16]: Fletcher's daughter. [0:27:17, 0:27:18]: Regarding [0:27:18, 0:27:19]: The results of our votes. [0:27:20, 0:27:20]: Um [0:27:22, 0:27:24]: Two things that we voted that [0:27:24, 0:27:25]: To wave the [0:27:26, 0:27:27]: Sign permit fee. [0:27:28, 0:27:33]: But that uh and that we also voted that no reimbursement occur until all work had [0:27:33, 0:27:34]: Um [0:27:34, 0:27:35]: been completed. [0:27:35, 0:27:38]: You know and approved you know by us. [0:27:39, 0:27:45]: And and she was fine with that. She said uh you know, she expected her father to be really happy about the waving of the um [0:27:45, 0:27:46]: The permit fee. [0:27:46, 0:27:47]: And [0:27:47, 0:27:50]: And I also let her know that that that included [0:27:51, 0:27:54]: The work that needs to be done, of course, was the signage on the side of the building. [0:27:55, 0:27:56]: And and she understood that. [0:27:57, 0:28:01]: And so it's just gonna be a matter of time for them to [0:28:01, 0:28:03]: uh proceed with that. [0:28:04, 0:28:05]: And uh that's all I have. [0:28:06, 0:28:06]: Great. [0:28:07, 0:28:11]: Thank you. Go ahead. Councilman McGann, I think it was. [0:28:13, 0:28:16]: Or was it Barber? I'm sorry, your voices sound similar. [0:28:18, 0:28:25]: Do you know if we're gonna have to pay the permit fees before he's able to finish the project or we're gonna pay that on the back end? [0:28:27, 0:28:33]: Uh I can't recall from the last meeting what we said if it was reimbursement or paying up front, but if it's waived. [0:28:35, 0:28:35]: Well [0:28:35, 0:28:40]: Maybe we can ask the city of Stockbridge if they're willing to waive it on our behalf or if they [0:28:40, 0:28:44]: require some type of payment, whether even if it comes from us. I don't think we actually [0:28:45, 0:28:46]: Talked about that. [0:28:46, 0:29:00]: Okay. Yeah. Uh we it was it was clear that the the it would be a reimbursement. So he yeah, they would have to incur the expense and we and and the D D A would include that expense among the things that we would reimburse them for. Okay. [0:29:01, 0:29:02]: Oh, okay. [0:29:02, 0:29:03]: Yeah. [0:29:03, 0:29:07]: I'll have to go up go back and um clarify that then. [0:29:07, 0:29:09]: Yeah, but now that we're talking through it. [0:29:11, 0:29:17]: I don't know that we clarified whether we would reimburse it because normally the the whole facade grant is at a fifty percent reimbursement. [0:29:19, 0:29:26]: Um and and I think the the spirit of you know, maybe we need to vote on it again for to clarify, but um [0:29:26, 0:29:31]: I think we understood that the signed fee was approximately ten to twenty five dollars, I believe. [0:29:32, 0:29:43]: You know, would we would the DDA include that as an expense that would be reimbursed at a hundred percent, or would it be at the normal facade grant reimbursement at fifty percent? So [0:29:44, 0:29:47]: Maybe we ought to talk through that point and b be clear. [0:29:48, 0:29:50]: I will say I thought it was my understanding that that entire [0:29:51, 0:29:53]: Permit fee would be waived. [0:29:55, 0:29:57]: I'll open it up for others to speak. [0:29:59, 0:30:04]: Can you give me clarity on what permit fee? We're talking about the sign on the side of the building. [0:30:04, 0:30:07]: Correct. From CDS Five I mean for the [0:30:08, 0:30:09]: The mural [0:30:09, 0:30:10]: So speaking. [0:30:11, 0:30:13]: Will that include his advertisement? [0:30:14, 0:30:19]: As well, it will say Fletcher's and Son, the one I saw it like an example. [0:30:19, 0:30:20]: Correct. Right. [0:30:22, 0:30:23]: Did anyone [0:30:23, 0:30:26]: I don't think Stockbridge voted to waive that. [0:30:26, 0:30:27]: I don't [0:30:27, 0:30:33]: I think that the and and not that I wouldn't waive it. I'm saying I don't think we've discussed that. [0:30:34, 0:30:35]: Um I know that [0:30:36, 0:30:36]: Um [0:30:38, 0:30:42]: Yeah, I don't know, but I do agree with uh Mr. with Roger that [0:30:44, 0:30:45]: Um [0:30:46, 0:30:48]: In regards to reimbursements. [0:30:48, 0:30:49]: That they do the [0:30:49, 0:30:53]: You know, that the facade is completely finished and then we reimburse. [0:30:53, 0:30:54]: Um [0:30:55, 0:30:58]: It would make sense if they're doing it because we asked for it. [0:30:59, 0:31:08]: Um, if Main Street asked them to, you know, allow a mural, to me it would make sense that that fee is waived, but I don't recall the city approving that. [0:31:10, 0:31:11]: Yeah. No, I'm sorry. [0:31:12, 0:31:25]: Um, I think that the DDA by waving it, it correct me if I'm good, my understanding was we were saying the DDA would take care of it. So it's the way for him in an essence that he doesn't have to pay for it. The DDA will pay for it. [0:31:25, 0:31:30]: outside of the reimbursable portions of his grant. [0:31:31, 0:31:32]: That was my takeaway. My [0:31:33, 0:31:40]: The only thing I would if Main Street's that's a Main Street project. I wouldn't object to Main Street paying for it. [0:31:40, 0:31:45]: But the facade grant, I don't know. Oh Vanessa's talking. I'm sorry. Vanessa. I'm sorry. [0:31:46, 0:31:51]: Go ahead, Vanessa. I think you're she may have something. We it looks like you you were looking at the record on this. [0:31:52, 0:32:00]: Yeah, I was just going to uh reference your last meeting where you voted on this particular item. [0:32:01, 0:32:14]: And it's uh board member Christian motion to reimburse permit signed fees where the signs included in the facade of the business and will be based on the scope of the project. [0:32:15, 0:32:16]: Thank you. [0:32:16, 0:32:17]: Okay. [0:32:17, 0:32:35]: Right. And and and just to clarify what makes this one unique is that in in this case that the the there's a a sign permit is is required for any sign, and that's a city requirement. And the DDA does not have the authority to waive a city, you know, sign fee. [0:32:36, 0:32:41]: Um what we were doing was saying, well, with the facade grant, then we would reimburse [0:32:41, 0:32:42]: The signed fee. [0:32:43, 0:32:47]: If it is part of the facade. Because we you know, if there's a separate [0:32:47, 0:32:48]: sign pole. [0:32:49, 0:33:09]: That has nothing to do with the facade grant, that's out of scope for the facade grant, and we wouldn't entertain that at all. But because he had this sort of uh retro mural on the side of the building that was the name of the business itself, it was actually a sign for the business, that's where the two blended together and we made the decision to reimburse it. [0:33:09, 0:33:27]: But now, you know, we didn't specify whether it'd be reimbursed at the fifty percent or the hundred percent. So I I I I think it would be helpful to just clarify that. Um I'm not sure what everyone had in mind or if we even thought through that. So maybe we ought to clarify that in this meeting so that, you know, uh Mr. Christian can have a clear [0:33:27, 0:33:29]: You know, point of reference when he speaks with the customer. [0:33:33, 0:33:36]: Well I I guess I have I guess it would [0:33:37, 0:33:40]: It's a little it's interesting because I know it's [0:33:41, 0:33:43]: I think Main Street asked for it. [0:33:44, 0:33:52]: I'm not against it, but at the same time, I I'm concerned about us not following our normal protocol. [0:33:52, 0:33:55]: In regards to facade grants. [0:33:55, 0:34:00]: If our applicate if our normal is to reimburse fifty percent up to a certain dollar amount. [0:34:00, 0:34:01]: Then [0:34:02, 0:34:08]: I think we need to keep that or we could, I don't know how we could do it. Um, because if someone else, but [0:34:09, 0:34:12]: If they're doing us a favor, then by all means. [0:34:13, 0:34:19]: I I mean I I understand, I get it. I think they should be I don't know well how to do handle it, to be honest with you. Um [0:34:20, 0:34:24]: My only concern is making sure that we're consistent when we do. [0:34:24, 0:34:27]: Because other people will put a sign out. [0:34:28, 0:34:30]: And we're not gonna give them [0:34:31, 0:34:33]: Full price, you know, we're not gonna pay for their sign. [0:34:33, 0:34:35]: Um, we're paying for a facade. [0:34:36, 0:34:39]: So we we really have to be careful and mindful of that. [0:34:40, 0:34:41]: I would think. [0:34:41, 0:34:43]: Other than that, I I understand. [0:34:45, 0:34:46]: I would say that um [0:34:48, 0:34:51]: Since w one one thing we could do since we've only had two [0:34:52, 0:34:54]: Um recipients of the facade grant. [0:34:55, 0:34:57]: And one one has already been completed. [0:34:58, 0:35:00]: Perhaps we can put it into the [0:35:00, 0:35:03]: uh policies and procedures to allow [0:35:03, 0:35:05]: Um, one hundred percent of [0:35:06, 0:35:10]: signs that have to perhaps that have to do with murals are on the side of a building. [0:35:11, 0:35:13]: to be waived. I would hate to have to go back now. [0:35:13, 0:35:15]: After saying, you know [0:35:15, 0:35:18]: One hundred percent and say, Oh, I'm sorry, it's only fifty. [0:35:19, 0:35:20]: Um [0:35:21, 0:35:24]: But like I said, it it could still be consistent since [0:35:26, 0:35:26]: Um [0:35:27, 0:35:31]: We could do this for now going f moving forward and put it uh as part of the policy. [0:35:33, 0:35:36]: I would be okay with that, but the policy w [0:35:37, 0:35:38]: Май концерн і. [0:35:39, 0:35:47]: Then we're allowing people to put murals. So of course they would put a mural instead of putting a a business side. I mean, there's just a lot of [0:35:47, 0:35:48]: Um [0:35:49, 0:35:55]: little holes through that, I think, because you would allow a business if I had a business there. [0:35:56, 0:36:02]: If I knew that I could do a mural with my business name on it, then that's what I'm gonna do because that's what you're gonna pay for. [0:36:04, 0:36:05]: Um, I just think that [0:36:08, 0:36:11]: Ooh, I don't know how we get around it. Um [0:36:12, 0:36:16]: For this particular project, it's for the city of Stockbridge. [0:36:16, 0:36:21]: Um, it's the part of the plan of our downtown RSVP, right? [0:36:22, 0:36:22]: So [0:36:25, 0:36:29]: I don't know. I don't know how we can do it, but I w we should [0:36:30, 0:36:33]: If if it's based off of Main Street's request. [0:36:34, 0:36:39]: We need to figure out a way of doing it. But I do want us to remain consistent on what we said in our application. [0:36:40, 0:36:42]: Okay. Uh Lisa, do you want to speak to that? [0:36:44, 0:36:45]: Yes, thank you. Um [0:36:46, 0:36:50]: First, I don't have all the answers because uh Kira [0:36:50, 0:36:54]: Із актуально спокійно містерфлече. [0:36:54, 0:36:56]: To make these arrangements. Um [0:36:57, 0:36:57]: But I will [0:36:58, 0:36:59]: Just add a few. [0:37:00, 0:37:01]: Things as food for thought. [0:37:02, 0:37:02]: Um [0:37:03, 0:37:05]: We will not be asking. [0:37:05, 0:37:08]: Every business in the downtown to [0:37:08, 0:37:10]: Allow us to create a mural. [0:37:10, 0:37:13]: This is a special situation. [0:37:13, 0:37:14]: Um [0:37:14, 0:37:15]: And so [0:37:16, 0:37:19]: I think if I understood uh Mr. Christian correctly. [0:37:20, 0:37:25]: Or someone made the point that if someone if some business was planning to make [0:37:25, 0:37:27]: A mural that [0:37:27, 0:37:28]: You all would [0:37:29, 0:37:31]: Мейк акмодаються. [0:37:32, 0:37:38]: I think that would be a lot. Um, especially because it won't be a main street um [0:37:38, 0:37:40]: activity or coordinated project. [0:37:41, 0:37:44]: This is a special situation. It's kind of the [0:37:44, 0:37:46]: Exception to the rule. [0:37:46, 0:37:51]: Um there may be another exception to the rule somewhere down the line where we ask another someone. [0:37:52, 0:37:52]: Um [0:37:53, 0:37:57]: But I don't think that you should set your standard based on this particular project. [0:37:57, 0:37:58]: So um [0:37:59, 0:38:03]: That is one thing. And the other thing is that the D D A um [0:38:03, 0:38:07]: Boundaries are not exactly the same as the Main Street boundaries. [0:38:07, 0:38:10]: So if you create um [0:38:10, 0:38:13]: Some kind of stipulation like what you're describing. [0:38:14, 0:38:16]: You're making your entire district um [0:38:17, 0:38:18]: susceptible to that. [0:38:19, 0:38:20]: Policy. [0:38:20, 0:38:23]: So those are just some of the things I wanted to add in there. [0:38:23, 0:38:27]: I think when this began, um, mister Fletcher was planning to. [0:38:28, 0:38:32]: uh paint his building anyway and he was going to put up a sign anyway. [0:38:33, 0:38:38]: And because we were working on the RSVP, uh, we approached him with the possibility. [0:38:40, 0:38:46]: Um, so initially he was just going to pay out of his pocket and then he found out about the facade grant. [0:38:46, 0:38:49]: And he was glad to try to work with the program. [0:38:49, 0:38:52]: Um, but then in addition to that. [0:38:52, 0:38:57]: There was this special uh situation that relates to the RSVP. [0:38:57, 0:39:03]: So I do think this one should be handled as an individual case where that's related. [0:39:05, 0:39:11]: Thank thank you, Lisa. Um and so is that possible for this to be dealt with as an individual case and [0:39:12, 0:39:13]: And not violate [0:39:15, 0:39:16]: Policy. [0:39:17, 0:39:37]: Well, I I I I'll I'll take that'cause I I spoke to Mr. McRae about this when we were first considering the idea of um, you know, waiving the uh sign fee and and and you know, I was concerned about, you know, can we do this? And it kind of mirrored the concern that Councilwoman Gantt just raised, which is, you know, we have to be consistent, which is true. And he he pointed out the same [0:39:37, 0:39:38]: Same thing. [0:39:38, 0:39:58]: And and you know, I pointed out that as you pointed out, Art, that you know, there's only been one prior recipient for the a facade grant. So um, you know, the he he just wanted to make sure that retroactively, if anyone would have benefited from that same change in standard, then we need to address that in some way, which is kind of a [0:39:58, 0:40:16]: non-issue at this point. I think we can um sort of f frame it specific enough to where it doesn't um leave open the um you know as far as how we word the the standard that we would reimburse, you know [0:40:16, 0:40:21]: the sign fee specific to if it is part of the facade grant. [0:40:22, 0:40:25]: I would also point out to your concern, Councilwoman Gantt, that [0:40:26, 0:40:35]: all facade grant applications are reviewed by the D DA before they're even approved. So if the idea that, you know, there's some sense of like, oh, I'll just [0:40:36, 0:40:38]: splash my sign on the side of the building. [0:40:39, 0:40:54]: that's not something that I would say that the DDA would be prepared to approve from the beginning, you know, if it's not something that for whatever reason, as Lisa suggested, is, you know, part of a larger effort for a mu you know, mural or some sort of redevelopment. [0:40:54, 0:41:03]: Then we would potentially take that under consideration. But I you know, we have the control within this group to approve or disapprove any application in the future. [0:41:06, 0:41:12]: Yes, I agree, Mr. Custin. I just my concern with that is although we can approve or disapprove [0:41:13, 0:41:19]: We still can be challenged and people can make claims. Um and so [0:41:20, 0:41:27]: That's one of my biggest concerns. I agree. I just I don't know which what how we get around it right now. [0:41:27, 0:41:28]: Maybe [0:41:29, 0:41:29]: Mm. [0:41:30, 0:41:32]: If we put in some language in regards to [0:41:33, 0:41:40]: Certain circumstances such as this, when Main Street request um, or this it is um, you know, the city's desire. [0:41:41, 0:41:41]: For [0:41:42, 0:41:45]: A certain look and someone agrees to participate. [0:41:45, 0:41:49]: then we would consider reimbursing for that particular thing a hundred percent. [0:41:50, 0:41:54]: I don't know, but I I do know it would have to go across the board. [0:41:54, 0:41:55]: And [0:41:56, 0:41:56]: Um [0:41:57, 0:42:04]: it would have to be approved. You're correct. It would have to be approved through the D D DA, but it would have to be in line with [0:42:05, 0:42:06]: Our RSBP. [0:42:07, 0:42:08]: For that purpose. So [0:42:09, 0:42:11]: Maybe we should ask Mr. McCrae when [0:42:11, 0:42:12]: We get a moment. [0:42:13, 0:42:14]: In regards to that. [0:42:15, 0:42:24]: Okay. Like maybe we can just craft the language to where it'll allow for this what we're intending the spirit of what we're intending here in this particular case, but [0:42:25, 0:42:27]: frame it so that it can't be [0:42:28, 0:42:29]: Misused. [0:42:30, 0:42:31]: In the future. [0:42:32, 0:42:42]: I I I'll I'll have that conversation with him and and and or if you'd like we can have that conversation together so we can explain, you know, what we're trying to get at and make sure that we're consistent. [0:42:42, 0:42:43]: Sure, that's great. [0:42:44, 0:42:44]: All right. [0:42:46, 0:42:50]: Um other thoughts on um the facade grant? Any other updates? Um [0:42:51, 0:42:51]: Art. [0:42:52, 0:42:52]: Yep. [0:42:53, 0:43:02]: Um I I do want to add a couple points to that. I think we've we've found through reviewing the program that uh there's some work to be done, both in terms of [0:43:03, 0:43:23]: The overall process of the application, consistent verbiage. Mr. McRae has reviewed some of the materials just to make sure that it's in line with the state statute, but also marketing the program so that you know we've you know we've got these funds and we want to make sure. [0:43:23, 0:43:30]: That they're taken advantage of for the businesses that are within the district. So I'd like to [0:43:31, 0:43:46]: look at the program itself um and and and would welcome maybe a uh maybe a a small subcommittee of maybe two or three of the board members that might be interested in sort of looking at it. [0:43:46, 0:44:02]: looking at the program holistically, fig figuring out what documents need to be updated and then figuring out how we can market the program. And and Mr. Peterson, if you want to add anything to this as well, because I know you and if I you and I have had some conversations about [0:44:02, 0:44:05]: how we can improve the program. [0:44:05, 0:44:06]: Any additional thoughts? [0:44:07, 0:44:10]: Yeah, I think um it doesn't need to be [0:44:10, 0:44:28]: totally revamped but the application on online needs to be updated and i i sent everybody my recommendations and a sample the applic the application online needs to be up updated uh there also needs to be money put into marketing the application and because [0:44:29, 0:44:49]: um of the amount of work that needs to be done. Roger and I just discussed actually yesterday and I agree with Roger with having a committee do it instead of just one person. And I think after um this the current application is completed, then we can get into our revamping the application, everything [0:44:49, 0:44:50]: From um [0:44:50, 0:44:51]: From the process. [0:44:51, 0:44:55]: to how it appears on the website to um to marketing. [0:44:57, 0:44:57]: Yeah. [0:44:58, 0:45:18]: But we're in a better place now than we were last month. So yeah. Right. Yeah. I mean the the doc thank you, uh Vanessa, for fixing the the website documents. But but even, you know, and art you brought this up early on when you were involved with the facade grant as far as the procedures for managing an application, both the approval and the review of the input. [0:45:17, 0:45:23]: voices and those types of things. And I I think we should at least have some guidelines as to what we think how that should be done. [0:45:24, 0:45:31]: So I'll uh it I'll ask for, you know, is anyone interested in, you know, art I'm gonna make the assumption that you'd like to continue. [0:45:31, 0:45:34]: sort of, you know, looking looking at the program [0:45:35, 0:45:46]: as we're just discussing, you know, and being involved with uh, you know, what needs to be updated. Yes. Would anyone else on the board be interested in uh working with art on this? [0:45:47, 0:45:48]: I would. [0:45:49, 0:45:49]: I'll be glad to help. [0:45:50, 0:45:51]: Okay. [0:45:51, 0:45:52]: Thank you. [0:45:52, 0:45:53]: Thanks, Bob. [0:45:55, 0:45:59]: All right. Anyone else? Any other thoughts on the facade grant in general? [0:46:01, 0:46:15]: And and uh you can put me down as well. I'm I'm happy to help in any way I can. I can at least lend my experience on the receiving end of a business owner who got the first facade grant, uh, you know, at least what my thoughts are for that. [0:46:16, 0:46:24]: All right. Um we'll move on to the next uh item on the agenda, which is the city staff update. So Mr. Peterson, uh you have the floor. [0:46:25, 0:46:45]: All right. Thanks a lot, Roger. Um, this no no large updates for the city. We do have a have a retreat coming up this week. Also, I'm going to meet with Mr. Knight and later on this month. Uh Roger and I met yet met yesterday and we discussed the TSW master plan. Um, Roger updated me on everything. [0:46:45, 0:46:56]: So um when I meet with Mr. Knight and later on this month, I'm going to uh have an in-depth conversation with him about that master plan. We're going to figure out [0:46:56, 0:47:07]: if we can continue it. Uh if so, how are we going to um edit the scope of work and things of that nature? Um and uh I'll keep you all updated on that. [0:47:08, 0:47:12]: And also, Roger, dealing with the um the facade grant. [0:47:12, 0:47:17]: This wasn't in the template that I sent you all, but I think that um [0:47:17, 0:47:23]: We need a point of contact for business owners to contact and also just someone who inspects. [0:47:23, 0:47:25]: The grant throughout the process. [0:47:25, 0:47:32]: Uh but we will we we we can talk about that later. But um are there any questions regarding the uh city staff update? [0:47:39, 0:47:45]: All right. Hearing none, seeing none, we'll move on. Uh Council McGantt, any updates from the city council? [0:47:46, 0:47:47]: Well [0:47:47, 0:47:54]: Um, I think we already know about the mural. There was a an additional mural that was discussed at the council meeting over [0:47:54, 0:47:57]: Um across the bridgeway to the right near the school. [0:47:58, 0:48:03]: Um that is they've hired an artist to the Main Street. [0:48:03, 0:48:12]: Has hired an artist to um come up with a rendering. And upon once they come up with that rendering, they will bring it back to mayor and council for approval. [0:48:12, 0:48:13]: Um [0:48:13, 0:48:19]: And that's pretty exciting. Uh we had a long meeting, but the meeting pretty much was about [0:48:19, 0:48:24]: Um, in general, a property that's not in our downtown [0:48:24, 0:48:27]: Stockbridge um area. It's actually [0:48:27, 0:48:32]: Over in the Eagles Landing portion off of forty two area. [0:48:33, 0:48:35]: Which is off of Brennan Road and Campground Road. [0:48:36, 0:48:36]: Um [0:48:37, 0:48:39]: And so there was a public hearing in that and [0:48:40, 0:48:50]: Most of the council, I think, well myself, a few council members have toured the amphitheater. And right now it's on track to um [0:48:51, 0:48:59]: the the actual amphitheater, not the roads, is on track to be completed at the end of May. It is a [0:48:59, 0:49:01]: It's an absolutely [0:49:01, 0:49:04]: Phenomenal. It's absolutely beauty. [0:49:04, 0:49:06]: I'm excited about it. Um [0:49:07, 0:49:27]: They're working on the parking on the left hand side um of the amphitheater. There's a couple of water features, which are really retention ponds that are now brought as water features. Um and it is a I mean, it's gonna I think everyone will be very pleased. I'm excited because I'm hoping [0:49:27, 0:49:28]: That [0:49:28, 0:49:32]: That uh years ago I started a food truck. [0:49:32, 0:49:32]: Park. [0:49:33, 0:49:37]: It and I'm pretty sure all of you know of that on Tasty T Tasty T and I missed that, but [0:49:38, 0:49:40]: Um I started it because [0:49:40, 0:49:49]: And it was right next to City Hall. I started it because we were trying to draw draw business and show people that our downtown has the potential. [0:49:50, 0:49:52]: For some great things. Um [0:49:53, 0:50:09]: and some great people, great business owners to come down and and do business here and and create business here in Stockbridge. So I'm excited about what's to come now that we have this amphitheater. I'm hoping that um as it being our anchor building [0:50:09, 0:50:10]: That [0:50:10, 0:50:11]: Um [0:50:11, 0:50:15]: We will have other developers and entrepreneurs. [0:50:16, 0:50:18]: and investors who are interested in [0:50:19, 0:50:35]: putting restaurants and different nice things here in our downtown area and helping our downtown Main Street area right now get more business or or more attention and attraction. So it's it's a really it's a it's unique and we're excited about that. [0:50:36, 0:50:38]: There wasn't really any more. [0:50:38, 0:50:46]: I don't think of anything else. We talked there is a retreat that we're gonna we're about to partake in um this week. And I think that's about it. [0:50:50, 0:51:10]: Barber, looks like you have a question and Art, I see your hand up as well. Go ahead, Barber. Yeah, I drove by uh City Hall last week and I was like, whoa, amphitheater just seemed like it just came out of nowhere. So my question is, will there be an opportunity for the DDA or maybe the public to have a tour at some point as well? [0:51:10, 0:51:14]: There will be, I'm sure, of that, but right now [0:51:14, 0:51:34]: Because of liability, we have to wear hard hats. We have to we have to make appointments ourselves to get and we have to wear our you know the yellow vest. And so right now it's just limited to mayor and council. But it was exciting to see. Listen, I hope people see it. I want, I think that once it's done, they [0:51:34, 0:51:54]: Maybe that's something the DDA can ask the city, is allow us to get other businesses or b places or restaurants or things that people that we know who may be interested in putting a business somewhere. Maybe we can take them on a tour, we can have a reception somewhere and then take them on a tour of our amphitheater and show them the [0:51:54, 0:52:07]: plans of what we want in our downtown. We have an art, we we're doing gonna build an art center. It's already been bonded, right? We voted to bond. And we're building a community center. They call it a senior, I call it a community center. [0:52:08, 0:52:26]: At first it was initially Senior and Youth Center. That's what most people say, but I say community because I want, you know, everyone. But it's exciting and I can't wait till y'all see it. I mean, especially the DDA. I'm excited. I I'm sure we can make some arrangements at some point, but right now it's just for me. I mean it's because of the liability. [0:52:27, 0:52:29]: I almost tripped and failed myself, so. [0:52:30, 0:52:35]: But it's beautiful, y'all. It's absolutely gorgeous one. I'll tell you what, the green room alone. [0:52:36, 0:52:40]: isn't a an event is a venue within itself. [0:52:40, 0:52:53]: There's a green room. It's the it's called a catwalk. And you literally walk across this bridge to this room. And it's really for the entertainers. There's a space in the back where the buses are to be parked for the entertainers. It is. [0:52:54, 0:52:57]: They thought of everything and it's the best [0:52:57, 0:53:00]: I'm tr I'm I hope I'm not being biased, but it's the best in Georgia. [0:53:00, 0:53:08]: It really is. It is the best in Georgia. I can't wait for y'all to see it. And I hope businesses hear us and we can market. [0:53:09, 0:53:10]: For the you know, in that manner. [0:53:11, 0:53:21]: I'm telling you, just driving by, I I was like, wow. Like yeah, I got excited just for what I could see from the road. So anyway, thank you. Um You're welcome. Yeah. [0:53:21, 0:53:23]: Art, I think you had your hand up. [0:53:24, 0:53:25]: And you're on mute. [0:53:29, 0:53:30]: Thank you. Councilwoman Gantt. [0:53:31, 0:53:33]: Has there been any further discussion regarding [0:53:33, 0:53:37]: Like parking in the park and ride lot um by council? [0:53:38, 0:53:40]: But to have to care, you know. [0:53:40, 0:53:41]: Parking right lot. [0:53:42, 0:53:45]: There hasn't. We we just we really we agree to [0:53:46, 0:53:47]: I remember um [0:53:48, 0:53:54]: Councilman Thomas bringing up a drop-off point for you know driving by. [0:53:54, 0:53:56]: We agreed with that. [0:53:56, 0:54:16]: the parking on the left hand side. There was a study or or something done that is part of the requirement of building such a large venue. And so the parking is being we bought seven acres next door to city right next to city hall to help with parking and there's a road. [0:54:16, 0:54:27]: There's Atlanta East Atlanta Road right there is gonna be widened. There's a turning lane that's gonna be put in place. And there's also a road coming from the back of the amphitheater. [0:54:27, 0:54:36]: like a a an another road for access in and out access for the public. And then there's parking on the left hand side. [0:54:36, 0:54:36]: Um [0:54:37, 0:54:44]: And parking like Jasmine or anywhere else, parking around the downtown area, but there will be uh a lot of parking and that's all [0:54:45, 0:54:50]: The public, the citizens and our council are always concerned about that. [0:54:51, 0:54:52]: Yeah. [0:54:52, 0:54:57]: But you gotta see it as soon as I promise y'all y'all gonna love it. I can't wait to everybody see it. [0:54:57, 0:54:59]: It's it's a beauty. [0:54:59, 0:55:00]: It really is. [0:55:02, 0:55:10]: And I um it was an aha moment. It's been going on for so long. Um, and Mr. Allen, this maybe that's something that you [0:55:10, 0:55:30]: I know I remember TSW coming and one of my concerns was uh probably well eight years ago, I wanted to model after 20 at one point. And we did an LCI. There was an LCI study already done. All we did was vote for option B, which all of them included an amphitheater. That [0:55:30, 0:55:35]: LCI is eligible for an update. [0:55:35, 0:55:47]: with that master plan. It's eligible for an update and we also could probably get that paid for through the Georgia Economic Development and some other downtown development authority grant that's available. [0:55:52, 0:55:56]: Councilman again, I'll uh I'll take that down and um [0:55:56, 0:55:58]: And we're we're going to discuss this again. [0:55:58, 0:56:03]: too. Okay. And um yeah. Yeah, that's uh that's great. Um great information. [0:56:03, 0:56:07]: Anything doing with I can get it get it paid for is is great. [0:56:07, 0:56:21]: Yeah, just give me a call or or we can and I can kind of look it up, but there's a grant available and we're able to update that LCI, which is which would be awesome because I think right now it's it's uh over 10 years old. [0:56:23, 0:56:23]: Yeah. [0:56:23, 0:56:25]: Hard anything else? [0:56:26, 0:56:28]: All right. Uh Simeikle, I think you had your hand up. [0:56:28, 0:56:31]: I was just gonna ask when was it scheduled to open? [0:56:33, 0:56:35]: So the we [0:56:38, 0:56:45]: They're supposed to be finished in May. We haven't made we'll probably make plans at we'll talk a little bit more about it at the retreat. [0:56:45, 0:56:55]: There's been some talk about some other possible additions, um, not additions to the amphitheater, but things that we could do to enhance the area in general. [0:56:55, 0:56:58]: to bring more traffic to the air to the downtown area. [0:56:59, 0:56:59]: Um [0:57:00, 0:57:05]: And so I don't know a particular date, but it will be a ribbon cutting. [0:57:05, 0:57:11]: And there's been talk of an event that probably wouldn't be to full capacity due to COVID. [0:57:11, 0:57:16]: And then hopefully we could have our first concert later this summer. [0:57:18, 0:57:19]: Yeah. [0:57:20, 0:57:24]: So we're uh just it's nice. [0:57:25, 0:57:45]: It's listen, it makes me smile. I've been begging for some type of movement. Miss Holiday can tell you, I used to always say, I need to see a bulldozer or something. Let's get it rooting, rocking and rolling. And it was just an aha moment. And I hope that the DDA, we can, you know, whether we do our own white boxes or we're able to purchase some property. [0:57:45, 0:57:52]: and do some things kind of like Madison or whatever. I hope that we're able to do the same. It is awesome. It's an awesome experience. It really is. [0:57:53, 0:57:54]: So Mikla, anything else? [0:57:55, 0:58:09]: All right, great. I do have a question. What are the plans for the East Atlanta Road widening? When is that to be when's that scheduled to begin? And and thoughts on that, please? I'll have to get back with you on that. I don't know when they're doing it. Um [0:58:10, 0:58:20]: I don't know the actual date or answer. So I'll send you an email. I'll speak to Mr. Knighton on those plans and actual schedule deadline. Right now I know they're working. [0:58:20, 0:58:33]: They're they're tidy up little bitty things. Um they even have they're tiding up little bitty things in the amphitheater and they're working to the left of us with the parking and the road, the the roads there. Um [0:58:34, 0:58:45]: But so I'm I'm not certain yet. And I'll get that date over to you. They'll probably be able to give me a little bit more. I know that um Falcon Design was possibly looking into and working on some things as well. [0:58:46, 0:58:46]: Um [0:58:47, 0:58:48]: So I don't know. [0:58:49, 0:58:52]: All right, anything else uh for Councilwoman Gantt? [0:58:53, 0:58:54]: Council updates? [0:58:57, 0:59:07]: Not hearing any or seeing any, so I'll move on to the next agenda item. Um I'm going to uh share my screen again and get that ready. [0:59:07, 0:59:08]: Uh [0:59:15, 0:59:16]: Bring this. [0:59:20, 0:59:20]: Yeah. [0:59:21, 0:59:40]: All right. So the uh I had um in our last meeting we talked about the um update to the uh DDA bylaws. I as we were transferring the records, um I found that there was actually another version of the D D A bylaws that I wasn't [0:59:40, 1:00:00]: I guess I for some reason I didn't have it, so I I've seen two versions. But this actually came about when we did our elections in December and we found that our bylaws actually call for a recording secretary that has to be appointed and it doesn't allow for the recording secretary to be to be served by this actual secretary. So we knew we needed to improve some [1:00:00, 1:00:07]: language in there. Mr. McCrae has reviewed our bylaws and came back with a few points, uh thoughts, recommendations. [1:00:08, 1:00:11]: The bylaws also call for an executive director. [1:00:11, 1:00:23]: And he said, and for either of these, we should the bylaws themselves or resolution should provide for any powers and duties if it's not already defined in the state statute. [1:00:23, 1:00:35]: So I'm just sharing some some comments, but um uh another and there are and you also noticed that there was a couple of area areas that overstep the state statute specifically um [1:00:35, 1:00:37]: It says that the executive committee [1:00:37, 1:00:46]: Could have the power to act between meetings, and that's not quite uh aligned with the uh Open Records Act and state statute. [1:00:46, 1:01:05]: Um the and also that it calls for the that the city would have the authority to purchase insurance and to authorize indemnification, but it does not. So those are some few things that Mr. McCrae pointed out. Um I'd also like to see, you know, kind of in line with um [1:01:05, 1:01:19]: indicating the powers and duties. This is something I believe um Mr. Sears brought up early on when we were doing our elections. Um like, you know, what does it mean to be, you know, chair or vice chair or treasurer? And so maybe we [1:01:19, 1:01:26]: Not sure whether we would consider putting that in the bylaws or through a resolution, but I do believe that, you know, we should at least consider some [1:01:26, 1:01:29]: expectations on what those roles mean. [1:01:30, 1:01:34]: Um so with that in mind, um this is another area where [1:01:35, 1:01:36]: Um [1:01:36, 1:01:56]: Uh and one before I move on to the call for action here, there's also the intergovernmental agreement, which we did discuss in our last meeting. Um, just in theory, you know, that we should we do not currently have a standing IGA with between the DDA and the city. And uh I think there was a general agreement that that would be a good idea. [1:01:56, 1:01:56]: Yeah. [1:01:57, 1:02:17]: Um, Mr. McCray, of course, can help us uh you know draft one, but we need we need some input as to what should be in the IGA. I mean, I have some thoughts as to you know just outlining a few points that should be addressed, but I'd like to ask for some help with both of these, um, just kind of going through the deep the [1:02:17, 1:02:37]: the bylaws and and and so I'm I'm asking for one or two, if you will, committee members to kind of help make recommendations for both updates to the bylaws as well as some points to consider with the IGA. And what that would mean is that we would meet uh once or twice. [1:02:37, 1:02:46]: maybe gather some ideas, maybe bring in Mr. McCrae for a meeting, get his thoughts, have him draft the document, and hopefully we can bring this back to this board. [1:02:47, 1:02:50]: possibly by the next meeting for uh review and approval. [1:02:51, 1:02:56]: So um a pause here for any uh questions or comments and then I'm happy to [1:02:56, 1:03:04]: here if anyone would like to uh help with uh either or really I'd like to do both kind of in parallel so [1:03:05, 1:03:08]: Um if if if anyone would be willing to help with both of these efforts. [1:03:16, 1:03:16]: I will. [1:03:17, 1:03:20]: And is that is that Bob? Yeah. [1:03:20, 1:03:22]: Yes, I will. Hey, thank you. I appreciate that. [1:03:24, 1:03:27]: Any any w any other comments or questions or [1:03:28, 1:03:32]: Anyone would be willing to serve on the on this committee to kind of review this? [1:03:32, 1:03:33]: I help out. [1:03:34, 1:03:35]: I'm sorry, Simiqua. [1:03:36, 1:03:37]: I'll help out. [1:03:38, 1:03:44]: Excellent. Yes. Okay. I think uh that's great and um I appreciate that. [1:03:44, 1:03:53]: Um and I'll I'll send a separate note following the meeting where we can maybe have a committee meeting to kind of discuss this in a little bit more detail. [1:03:53, 1:04:13]: All right, um that covers the two new business items. Uh unless there's any questions, I'll move on to the old business. And there's uh really just the first item under old business is the purchase and sale agreement. I have not received any updates on the closing date. We are not yet at the 60-day mark for the due diligence period. [1:04:13, 1:04:22]: Um I'll actually uh Council McGantt, did you have you heard anything about the purchase and sale agreement? Any any update? I I have not received any. [1:04:22, 1:04:27]: So I heard about the purchase and sell agreement today. The um [1:04:27, 1:04:32]: purchasers attorney has um reached out [1:04:32, 1:04:35]: for some additional information they needed from [1:04:35, 1:04:41]: the city and they're in the process of doing that. So they are in communication and working together to get it close. [1:04:42, 1:04:44]: Good. All right. Good to hear. [1:04:45, 1:04:51]: Um and with that I'll just move on to the last item on the agenda, which is the legal review. [1:04:51, 1:04:52]: Um [1:04:53, 1:05:12]: The uh earlier ch Chair Shaw uh had asked Mr. McCrae, our attorney, to review the two open contracts that we have with two vendors. And uh Mr. McRae completed his review and he came back with uh these comments and I'll I'll kind of uh review the highlights with you here. [1:05:12, 1:05:32]: So the JLL contract, this was engaged a couple of years ago. It's a real estate brokerage service, and what they do is to help um broker the assemblage of parcels. So what they'll do is like, you know, help assemble uh you know a section of land that could be redeveloped into a big something. [1:05:32, 1:05:34]: Yeah. [1:05:35, 1:05:35]: It [1:05:36, 1:05:52]: Does have some confusing language in there. It kind of um toggles between referencing the city versus the DDA, but it was the DDA who signed the agreement. So the assumption is that this is all referring to the DDA, but that's the language is a little bit um [1:05:53, 1:05:56]: problematic in that sense'cause it's not clear. [1:05:56, 1:06:00]: Um із thankfully terminatable. [1:06:00, 1:06:01]: Terminable. [1:06:01, 1:06:17]: uh at will by the DDA. It does specify that payments would be addressed to uh the former economic development director, Mr. Touchton. Um if we do decide to keep this agreement, it should um I I think it should go to the DDA. [1:06:18, 1:06:18]: Um [1:06:19, 1:06:25]: There is a four percent commission indication there that it would be intended that the seller [1:06:25, 1:06:29]: whoever that might be would pay and if it were to be the um [1:06:30, 1:06:44]: situation like the purchase and sale agreement we just mentioned, um, you know, that would in at least in in that scenario, that would be property that would at least for the moment be deeded over to the DDA. And that means that commission would be incurred by the DDA. [1:06:45, 1:06:55]: So something to keep in mind. And uh but fortunately the DDA must approve all of the JLL services before it has uh a commission obligation. So [1:06:56, 1:06:57]: It's [1:06:57, 1:07:02]: Um I think the general the way I would kind of characterize this is that there's some [1:07:03, 1:07:04]: Kind of [1:07:05, 1:07:25]: sloppy language if you will, but I I don't see that this poses a high risk. Um but I'll open it up for any questions or comments. And um I think I've shared this with the DDA before, but if you want I can um following the meeting I can share uh both of these agreements with the board. [1:07:24, 1:07:40]: so you can look at it in a little bit more detail. There's they're not huge agreements. I think each one's like three to four pages. So you know that way you have time to digest it given Mr. McCrae's comments. But any questions at this point on uh I on the JLO contract? [1:07:43, 1:07:46]: I don't have a question about J L. Hold on one moment. I'm sorry. [1:07:47, 1:07:53]: I I don't have a question. I have a comment. The reason why the JLL contract was um [1:07:53, 1:07:58]: postponed at the time from my understanding or I don't think the DDA postponed. [1:07:58, 1:08:02]: But the city has their own broker. [1:08:02, 1:08:04]: They have that [1:08:04, 1:08:10]: is to acquire properties and it didn't we just wanted to make sure there wasn't a conflict there. [1:08:10, 1:08:15]: And at the time I had spoken with Mr. Tushton, he agreed. [1:08:15, 1:08:16]: But [1:08:17, 1:08:21]: He's not here, so I don't know what what happened to that. [1:08:23, 1:08:23]: Okay. [1:08:26, 1:08:46]: Thank you. I'm I'm not sure what to say about that. I mean, other than um I would, you know, being that you serve on the DDA, uh, you know, you would have, you know, a voice to um, you know, consider any services before they're obligated, you know, if it if if if it did come from JLO. We've had no [1:08:46, 1:08:49]: contact with JL for probably a couple of years now. So [1:08:49, 1:08:52]: Um I I don't know that. [1:08:52, 1:08:56]: you know, anything is expected to materialize, but you know, it could come out of the woodwork. [1:08:57, 1:08:59]: Hey, I've got this great deal. [1:08:59, 1:09:00]: So [1:09:02, 1:09:05]: So any other comments or questions? Go ahead, Barber. [1:09:05, 1:09:08]: So their role here pretty much is to [1:09:08, 1:09:12]: you know, possibly bring land deals to the D DA? Is that [1:09:13, 1:09:15]: ultimately what the agreement is for. [1:09:16, 1:09:21]: I don't know if it's specific to land, but yeah, uh development deals. Yeah. Development deals. [1:09:22, 1:09:22]: Okay. [1:09:25, 1:09:26]: All right. [1:09:27, 1:09:34]: Um I'll move on to the next side. Roger I'm sorry I did have a question, Roger about the um the IGA and the well [1:09:35, 1:09:38]: The purchase and sale agreement, what is that sixty day deadline? [1:09:39, 1:09:55]: Do we know what that is for the due diligence? So sixty days from that, end of March. Or probably dips a little bit into April because uh February was only twenty eight days. So probably probably April's first or second is by counting. [1:09:58, 1:10:00]: Thank you. Um anything else? [1:10:02, 1:10:22]: Right, and the last item is TSW. This is the uh master planning services. We've mentioned it a few times in this meeting. They were engaged uh December of twenty nineteen. Um we started off at a quick pace. They did some drawings for us and did quite a bit of work. We did a tour and a walkthrough. [1:10:22, 1:10:31]: uh early in 2020. Um but it the the the contract was ultimately suspended. [1:10:31, 1:10:37]: uh due to COVID and and other reasons. Um but looking at the contract itself. [1:10:37, 1:10:46]: Um, it does refer to a map which, even though uh Mr. McCrae did not see the map, it had subsequently been provided uh by the firm. [1:10:46, 1:11:06]: It does recommend engaging in a market study from a partner organization called Bleakly. And that was that had been agreed to that the city would fund that portion for$8,500. And the uh it's an hourly fee schedule for the total. [1:11:06, 1:11:08]: contract which was twenty nine thousand [1:11:08, 1:11:15]: And the duration of the contract is not specified, which is good because it's been suspended and we hope that maybe we can um [1:11:16, 1:11:28]: resume this um master planning in some form. So overall, um no real concerns with the way that particular contract is written. Any thoughts or questions? [1:11:33, 1:11:38]: You said the the contract was suspended because of covet and other reasons can can you know. [1:11:39, 1:11:42]: Uh that that piques my curiosity. Any [1:11:42, 1:11:43]: Yeah. [1:11:43, 1:11:46]: Yeah, um there were an area. [1:11:46, 1:12:04]: There were a number of things that were needed um as feedback from the city, namely um uh a decision on the railroad crossing, uh uh information about what properties were owned by the city and future development um [1:12:05, 1:12:25]: uh intentions for any properties owned by the city so that you know the master plan could you know align to the city's uh expectations for those properties. Um there's a couple other points, the um uh parking and uh pedestrian um plans. [1:12:25, 1:12:45]: So and and parking and traffic plans. So that those are just you know broad uh categories of things that um were being requested as far as feedback from the city. And um and you know, I'll add this was you know in the February 2020. [1:12:45, 1:12:54]: twenty twenty timeframe, right when COVID was ramping up and everything was shutting down. So it ultimately got uh suspended for the time being. [1:12:56, 1:12:59]: I've shared this information, I'll say with Mr. Peterson. [1:12:59, 1:13:19]: And that was what um he referred to. Uh he's planning on having a meeting with uh Mr. Knighton, the city manager, uh later, I believe later this week. So um I'm grateful that he's taken up this um effort to see if you know, if and how we can move forward with uh a master plan for the downtown district. [1:13:19, 1:13:19]: Yeah. [1:13:23, 1:13:24]: Thank you. [1:13:24, 1:13:25]: Sure. [1:13:27, 1:13:40]: And that uh concludes the remarks I have for the JLL uh and TSW. Um and that is, I believe, the last item on our agenda. So [1:13:40, 1:13:45]: Um I'll open up the floor if there's any general comments that we want to uh cover. [1:13:47, 1:13:48]: Any anyone? [1:13:51, 1:13:53]: Finding my controls here. [1:13:53, 1:13:54]: There we go. [1:13:55, 1:13:56]: All right. [1:14:01, 1:14:01]: All right. [1:14:02, 1:14:22]: Not seeing or hearing any. Um, but before we close, I just want to thank everybody. I mean, you know, service on the board like this, it's a volunteer board. Um you're taking your personal time and energy and and even even those uh city staff members, Lisa and Vanessa and Councilwoman Gantt, um you're [1:14:22, 1:14:23]: Your jobs. [1:14:24, 1:14:36]: don't necessarily call for being in a meeting at six or seven o'clock or sometimes late uh later on in the evening. So I I really appreciate uh your service to the board and to the city. So thank you all. [1:14:38, 1:14:44]: Uh with that in mind, um I'll entertain a motion to adjourn unless somebody has anything to uh speak to. [1:14:49, 1:14:51]: I I move it with adjourn. [1:14:51, 1:14:53]: All right, Bob, thank you. [1:14:53, 1:14:54]: A second. [1:14:55, 1:14:56]: Thank you, Art. [1:14:57, 1:14:58]: Any discussion? [1:15:00, 1:15:05]: All right, very good. With by show of hands in favor of adjourning the meeting, let's uh vote. [1:15:06, 1:15:06]: There we go. [1:15:07, 1:15:17]: Oh very good. That looks unanimous. All right, everybody. Thank you very much. Uh our meeting is adjourned. Have a great evening. Good night, everybody. Good night. Good night. Thank you.
