Ford Discussion Chair Barney-Duck noted that there were several ethics complaints in the month of May and asked for those that were parties to the complaints to identify themselves. She also noted that we reviewed all supplemental documentation that was provided to us, and we do have some questions on some things, not all complaints, asking Ms. Battle and Councilwoman Barber to come forward to speak to the complaint labeled 05092025-01. Michele Battle asserted that it was inappropriate for Councilwoman Barber to attend a meeting and speak in opposition to a motion in front of the recommending committee. Councilwoman Barber, when asked why she attended the meeting, asked the board about the schedule for public hearings with the Ethics Board. Chair Barney-Duck informed her that we were under no obligation to hold hearings. Councilwoman Barber expressed concern regarding the closed session in the Board of Ethics meeting on May 28, 2025, saying that closed sessions were only 2|Page for certain matters and that the only personnel under our purview would be the Ethics Board members and there was a need for consistency for the Board of Ethics and that she expected there would be a public hearing here. Committee member Charmaine said she would like to clarify that when we went into executive session last time, we had only received these and that she had many questions and another member had many questions and that she could see that you were speaking for your constituents. Councilwoman Barber said the reason she attended the community informational meeting that the city hosted, and also the planning commission meeting hosted by the planning commission, was because the residents had not been given proper and adequate notice. Committee member Charmaine said that she would expect any city council member to get up and go and stand up for their represented district and wanted to go back and speak regarding consistency and actual rules and how we proceed and what we're supposed to be doing. It is her understanding that when we receive complaints, we cannot discuss the complaints in our review of these complaints in the public meeting. This is for a closed session, especially when we have not seen these complaints prior to coming to a meeting. The Chair, Barney-Duck said we need to recommend our procedure and rules to the city council and there's nothing that the ethics board is discussing in closed session that you won't see come out in a recommendation. Committee member Scott noted that we are doing research and networking with other ethics boards because we want to be confident in what we are doing. Committee member Charmaine pointed out that the code of ethics is 13 pages and vague. Committee member Jenkins noted that if the complaint doesn't fall within the 13 pages that was given to us by the City Council, we can't rule on it and that City Council needs to give us more to work with. The rules come from City Council. Not us. So, if you want us to do more? Give us more to work with. 3|Page Mr. Willie Carter questioned the limitations of the ethics code and asked about when the code was last updated. Committee member Charmaine referenced the Ethics Code provided to each member and referenced the last update as 2013. Mr. Carter asked when the code will be updated. Chair Barney-Duck explained the Code of Ethics, the procedure followed, and the procedure for getting the code updated by the City Attorney and City Council, but could not give a date or timeline when an update might happen, however, recommendations could be submitted from the committee. Committee member Jenkins added that some of this is her responsibility for pulling information about how other boards operate and that from at least 20 different ethics board committees in and out of Georgia all 20 of them are different. Many of them have not updated their code since some of them are newly established. Chair Barney-Duck said that right now someone should give us an example of what they would like to see happen that we could adopt that and recommend that to city council but that we can only recommend that they issue a public reprimand or censure, or they can request resignation. Ms. Battle asked at what point the complainant gets an opportunity to see the information that was provided by the opposition and Chair clarified that Ms. Battle didn't receive any corresponding or supplemental information that might have been provided by Ms. Barber regarding the complaint. Ms. Battle said that if Councilwoman Barber has an issue with staff with how the public hearing notices that went out the appropriate time for that would have been at the city council meeting not at the planning commission meeting. The chair pointed out that Ms. Barber was not the only one who spoke out in opposition, and we would have to speculate that she influenced the planning 4|Page commission board, and that Councilwoman Barber can be present at the meeting. Ms. Battle stated that council members should not voice an opinion at that time and when asked if she had more information to submit, she did not. Councilwoman Barber stated that there would be no need for her to speak to the recommending committee had staff and the developer met the requirements of notifying all the homeowners who live within 500 feet. She said she did receive the letter that battle law sent requesting that she recuse herself from voting on this matter, and her response was she would not and her vote, whether in opposition or approval, has had no impact on the outcome of any development proposal that has come before the city council. The Chair clarified that Ms. Battle did know that constituents did not get appropriate notice before the meeting. Closed Session - § 50-14-3 Motion to convene the Closed Session under Code § 50-14-3 made by Committee Member Jenkins; seconded by Committee Member Charmaine. The motion passed unanimously 4-0. The following complaints were discussed: ➢ Ethics Complaint 05022025-01 Filed by Phedra Thomas against Councilman Elton Alexander ➢ Ethics Complaint 05092025-01-01 Filed by Michele Battle against Councilmember Yolanda Barber ➢ Ethics Complaint 05162025-01 Filed by Councilmember Barber against City Attorney Quinton Washington ➢ Ethics Complaint 05162025-02 Filed by Councilmember Barber against Mayor Anthony S. Adjourn Stockbridge Main Street Advisory Board Meeting – January 2026 Page 1 January 9, 2026 Mission: The Stockbridge Main Street Program's mission is to design an identifiable downtown historic district that promotes economic vitality, encourages cultural enrichment, and nurtures community spirit. On Friday, January 9, 2026, the Stockbridge Main Street Advisory Board (hereinafter the Board) meeting was held at the Main Street Program Office in the Stockbridge Downtown Connection Center Conference Room. The meeting was called to order with an official roll call at 9:12 a.m. by Mr. Willie Hopkins, Main Street Advisory Board Chairman. Mr. Shomari Furth, Main Street Advisory Board Co-Chairman, read the Main Street Mission. Mr. Hopkins welcomed and opened the floor to the councilmembers present, Councilman Cloud (District 2) and Councilwoman Barber (District 4). Councilwoman Barber offered greetings and shared excitement for 2026 and the board’s upcoming work, expressing continued support. Councilman Cloud also offered New Year greetings and shared condolences regarding the passing of Councilman Thomas, noting his relationships with many board members and the community. The Board agreed the financials would be presented at the next meeting. It was also noted that the January financials should reflect new 2026 budget lines. Main Street Manager’s Report / Discussion Main Street Manager, Ms. Fareed, welcomed and thanked everyone for their attendance and extended New Year greetings. Program Updates: o Ms. Fareed provided an overview of the Main Street program for new/visiting officials and reiterated that: • Main Street is a national program tied to historic preservation and downtown revitalization efforts. • The local program completes an annual assessment to maintain accreditation (assessment due the following week). • Stockbridge Main Street has been accredited for 10 consecutive years. • The program is supported through the Georgia Department of Community Affairs (DCA), which serves as liaison to the National Main Street Center. o Ms. Fareed reviewed the historical development of downtown Stockbridge, including its railroad origins and the impact of later infrastructure changes (including the bridge) on traffic patterns and downtown vitality. o Ms. Fareed reviewed Main Street’s four pillars: • Design • Organization • Promotion • Economic Development Office Address: 130 M.L.K., Sr. Heritage Trl. ∙ Stockbridge, GA 30281 ∙ 678-833-3306 Mailing Address: 4640 N. Henry Blvd. ∙ Stockbridge, GA Stockbridge Main Street Advisory Board Meeting – January 2026 • Page 3 Mr. Furth provided the Board with a memory aid: “DOPE” (Design, Organization, Promotion, Economic Development). o National Recognized Program: Ms. Fareed and Board noted Stockbridge Main Street has been recognized twice by the National Main Street Center and American Express for innovation, including initiatives such as Shop Small efforts and the “Tiny Tent Concerts,“ and that local ideas have been replicated by other Georgia Main Street programs. o City Leadership Updates: Ms. Fareed shared multiple city leadership transitions, a new mayor, council member(s), interim chief of police, and director-level staff changes. It was also shared that: • Councilman Thomas passed away December 26, 2025, and the funeral was held earlier that week. • The Board sent flowers and condolences to the Thomas family on behalf of the Advisory Board. • Condolences were also sent to Ms. Anika following the passing of her father; a thankyou card was received. o Holiday Festival/Hot Cocoa Booth: Holiday Fest was reported as a major success with an especially large crowd. Increased overall attendance and the cocoa supplies ran out (first time reported). o Small Business Blitz: Ms. Fareed explained that this year’s approach focused mainly on business promotion without a structured “passport” or central participation point. Analytics later showed there was no measurable participation through the app/online tracking. Gift cards purchased for participation will be repurposed for future local initiatives. • o Ms. Linda suggested tying Small Business Blitz promotion to ribbon cuttings to help spotlight businesses more efficiently. The Manager confirmed this was aligned with prior plans and will be refined. Board Renewals: Board members who submitted letters of intent by the deadline were reappointed by Council on December 8th meeting. o Board Education & Training: Ms. Fareed recognized the Board for completing required training, noting all members completed at least two hours (many exceeded the requirement). The Manager suggested completing 2026 training earlier in the year (deadline moved to June). Rationale discussed included: ▪ The Main Street Advisory Board has built a distinct identity and reputation over many years. ▪ Similar or shared branding could confuse the public. ▪ A collaborative relationship with DDA is valued, but the DDA should develop its own unique logo (potentially with coordinated elements such as color palette), rather than duplicating Main Street branding. ▪ Concerns were also noted regarding process (logo concept being shown informally on a phone and not presented in advance). A motion to decline sharing the Main Street logo with the DDA Board at this time. The motion properly approved. Motion: Shomari Furth Second: Linda Jones Discussion: None Vote: Unanimous No Quorum: Chair Hopkins noted that Mrs. Burnette left the meeting at 10:01 am, immediately following the vote. There was no longer a quorum present, and the gathering continued for informational purposes only. Economic Development Update: Ms. Fareed shared that Henry County is preparing for visitors tied to the FIFA World Cup, occurring mid-June through mid-July 2026, with Atlanta hosting matches. Local hotels may house teams and fans. The Main Street program is thinking about creating welcome messaging and signage. Potential live screening. DDA Report: No DDA report was provided, liaison absent. Announcements / Concerns: o Ms. Fareed announced a tribute gathering honoring Councilman Thomas, hosted in partnership with Ms. Linda Jones and Frozen Smoke, scheduled for Saturday, January 10, 2026, 6:00–7:00 p.m. The event includes a free buffet, reflections, and jazz. Councilman Thomas’s family is expected to attend. o Community Shred Day – Mr. Hopkins announced a community shredding event in partnership with AKAs and Global Impact Christian Ministry on Saturday, January 17, 2026. Councilmember Barber reiterated her concern about violating the Open Meetings Act. Stating the issue before the city council was a professional services agreement, and the Council had already approved the personnel matter when they voted to select the individual at the prior city council meeting. She emphasized again that what was before them was a professional services agreement that should be discussed in the open meeting, though she would defer to the consensus of the Council. Councilmember Gantt stated that the city council would be discussing a legal contract agreement that had not been finalized. She noted that as a legal matter, and any legal matters can be discussed behind closed doors, consistent with the Council's practice since at least 2014. She stated that once they finalized the legal agreement, they would return for the public vote. Motion to go into executive session for real estate, cyber security, personnel, and litigation made by Councilmember Gantt; Seconded by Mayor Pro Tem Alexander. Vote: Approved 3-1 (Barber opposed) Councilmember Barber stated for the record that she opposed because "this is a contract." The Council adjourned for executive session. Motion to end executive session and return to the regular scheduled meeting made by Councilmember Gantt; Seconded by Councilmember Cloud: Vote: Approved unanimously 4-0. Mayor Williams announced that there were two items to bring back to the public from executive session. Discussion: Councilmember Barber stated there were several questions she had asked via email and in executive session that should have been asked in the public meeting. Citing that all questions do not relate to the contract per se but wanted them for public knowledge. She requested the following be stated on the record: The Council has not yet adopted or approved a rental policy for the amphitheater. She had asked about assistance with finalizing the contract. She requested a force majeure clause be added to all contracts. She inquired about limited liability insurance for vendors and everyone else. 2|Page --- page 3 --- ¢ She noted the amphitheater has historically not been in use from October to March and asked for creative ideas to generate revenue during that period. (The following questions were mentioned at the meeting and emailed to the clerk’s office during this meeting for the record) e Why was this contract advertised as a Job Announcement as opposed to a solicitation (RFQ)? e Why is limited liability insurance not required? Mayor Williams called for the vote as previously stated by Councilmember Gantt and seconded by Mayor Pro Tem Alexander for all those in favor of the contractual agreement with Sandra Poag in the amount of $140,000.00 (one hundred forty thousand dollars) as the General Manager for the Vystar Amphitheater. Vote: Approved 3-1 (Barber opposed) Councilmember Barber stated her opposition was because her questions had not been answered and there were still changes that needed to be made to the contract.
