[0:15:24, 0:15:26]: And including some next steps. [0:15:26, 0:15:27]: Things like that. [0:15:29, 0:15:31]: Okay, yeah, I did get that email. [0:15:31, 0:15:33]: Okay. Good, good, good. [0:16:36, 0:16:45]: Um, so let me know. Um I'm generally good most weekday evenings between say five and six, six thirty, something like that. [0:16:45, 0:16:52]: Okay. Um or weekends. I prefer m morning like before like around nine or ten or something like that. [0:16:52, 0:16:58]: So just let me know what works for you in the next week or so and uh I'll be glad to send up some time with you. [0:16:58, 0:16:58]: Okay. [0:17:04, 0:17:06]: Hello, Barber's joining via phone. [0:17:06, 0:17:08]: Hi Barber, thanks for joining. [0:17:10, 0:17:11]: Yes, thank you. [0:17:13, 0:17:14]: And we hear you fine. [0:17:14, 0:17:17]: We don't see you, we just see a little telephone icon. [0:17:18, 0:17:21]: Yeah, still don't have internet service, so [0:17:22, 0:17:22]: Right. [0:17:23, 0:17:25]: What we do is. [0:17:26, 0:17:27]: Well, at least you have power. [0:17:30, 0:17:31]: Yeah, what is that? [0:17:33, 0:17:33]: [1054.8, 1058.2]: You do sound a little far away, but that that that's fine, we can make it out. [0:17:44, 0:17:45]: Right. [0:17:54, 0:18:02]: Um, let me ask Alan and or Samiqua, did y'all get a reminder from Zoom today about this meeting? Cause I set it up to automatically go out. [0:18:04, 0:18:07]: I don't think I did. Okay. Uh [0:18:07, 0:18:10]: then um let me um [0:18:10, 0:18:11]: Let me just go ahead and do that. [0:18:14, 0:18:17]: Send reminders. Um send [0:18:19, 0:18:21]: Please show us [0:18:30, 0:18:33]: Equals here. [0:18:36, 0:18:36]: There we go. [0:18:47, 0:18:48]: Yeah, make sure we have a quorum. [0:19:23, 0:19:26]: Good evening. Hi Art. Hello Vanessa. [0:19:26, 0:19:27]: Hey. [0:19:33, 0:19:34]: Um [0:19:35, 0:19:44]: Art and Vanessa, Barber is dialed in. She um her internet is down, so the phone number you see here is is Barber. [0:19:44, 0:19:45]: Okay. [0:19:57, 0:20:00]: So we'll give it a minute for I know um [0:20:01, 0:20:04]: I know Max was on his way in and uh [0:20:05, 0:20:06]: There I see Bob's joining now. [0:20:07, 0:20:08]: All right. [0:20:08, 0:20:10]: We should be able to get started. [0:20:12, 0:20:16]: Hello Bob. Hey, how are you? Doing well. [0:20:17, 0:20:18]: So we can [0:20:23, 0:20:23]: Yeah. [0:20:25, 0:20:26]: Yeah. [0:20:27, 0:20:35]: Um I think we have enough of a quorum to get started. So if it's okay with everyone, I'd like to uh try to start on time or as close to it as possible. [0:20:35, 0:20:43]: Um if everyone's okay, I'm gonna go ahead and uh start the webinar, which will allow the uh public um attendees to join. [0:20:43, 0:20:44]: Uh [0:20:44, 0:20:45]: Everyone ready? [0:20:46, 0:20:47]: Yes. [0:20:47, 0:20:55]: Okay, great. So the webinar is now live. So welcome everybody to the uh February 16th. [0:20:55, 0:20:58]: Stockbridge Downtown Development Authority meeting, regular meeting. [0:20:59, 0:21:05]: Uh we'll start off with a roll call. So Bob, if you would please uh call roll and then we'll check to see we are quorum. [0:21:06, 0:21:06]: Okay. [0:21:07, 0:21:08]: So [0:21:08, 0:21:10]: Arthur Christian. Present. [0:21:11, 0:21:13]: Uh, Roger Custom. [0:21:13, 0:21:14]: Present. [0:21:15, 0:21:16]: Lakeisha Gantt. [0:21:18, 0:21:18]: Lakeisha Gantt [0:21:19, 0:21:20]: Самі кокейн. [0:21:21, 0:21:21]: Is it? [0:21:23, 0:21:24]: Barber Richardson [0:21:25, 0:21:26]: Present. [0:21:26, 0:21:27]: Thank you. [0:21:27, 0:21:28]: Maxwell Sears. [0:21:31, 0:21:32]: Actual Seers. [0:21:33, 0:21:35]: Okay, uh Bob Swagert, I'm here. [0:21:36, 0:21:37]: Well. [0:21:37, 0:21:38]: Pretty important. [0:21:38, 0:21:39]: Six um [0:21:39, 0:21:40]: Members to present. [0:21:41, 0:21:45]: One, two, three, fourth. I count [0:21:46, 0:21:47]: Five? [0:21:49, 0:21:51]: But either way that makes a quorum. [0:21:52, 0:21:53]: Uh okay. [0:21:53, 0:22:00]: All right, great. So we'll go ahead and get the meeting started. Thank you, Bob. So the first item on the agenda is to approve [0:22:00, 0:22:03]: Today's meeting agenda, uh Bob sent a um [0:22:04, 0:22:15]: uh a version February sixteenth. Um I'll check, I'll pause to see if everyone present has had a chance to review that and if there's any questions and then I'll take a motion to go ahead and approve today's agenda. [0:22:17, 0:22:20]: I move that we accept today's gender agenda as printed. [0:22:22, 0:22:23]: Uh second. [0:22:25, 0:22:26]: Okay. [0:22:27, 0:22:29]: Any other discussion? [0:22:30, 0:22:37]: So we have a motion to approve today's meeting agenda as uh printed and Bob uh Mr. Christian has moved to um [0:22:38, 0:22:44]: Approved the agenda and Bob has moved and seconded the motion. Um no further discussion. Um [0:22:45, 0:22:47]: I think we can do this by a uh [0:22:48, 0:23:08]: Bob, I I'm gonna defer to you. How would you prefer to record or you and Vanessa, would you prefer we do a roll call for each of the votes? I know it's easier when we're doing Zoom calls, but now that I've transferred this to either of you, I'll let you speak your preference, whether we just do a yay or nay or a show of hands or do a roll call. Any any comment on that as far [0:23:08, 0:23:09]: RS procedure. [0:23:10, 0:23:12]: I don't have any preference. Do you do you Vanessa or? [0:23:12, 0:23:19]: For me it's a show a show of hands unless there is technical difficulties where we'll need to hear a verbal. [0:23:20, 0:23:34]: Okay, great. And I should note that Barber is voice only today. So we'll we'll at least let's uh let's hear from Barber first and then we can say a show of hands as far as all who approved today's agenda. [0:23:36, 0:23:36]: Uh yay. [0:23:37, 0:23:38]: All right. [0:23:42, 0:23:42]: Right. [0:23:43, 0:23:55]: And for the record, uh Mr. Sears has joined the meeting. He was last I uh yeah I I I can't vote on something I didn't hear, but I guess I guess I'll get it we I was having a problem getting on. [0:23:55, 0:23:56]: Okay. [0:23:57, 0:24:00]: Well, we see you welcome and we hear you loud and clear. Thank you, Mr. Sears. [0:24:01, 0:24:04]: But you wanna give me a list of snap or I'll abstain. So if you wanna give me a little [0:24:05, 0:24:07]: Quick insight on what you [0:24:07, 0:24:16]: raising your hand about Oh thank you. It was to approve today's agenda as president. Okay. I can do that part. [0:24:17, 0:24:20]: Right. Um do you all see the note from [0:24:20, 0:24:27]: Councilwoman again, it needs to be um Roger, if you would. Yeah, I can bring her in. All right. Right. [0:24:30, 0:24:31]: All right, uh [0:24:32, 0:24:35]: Council McGantt, can you hear me? [0:24:35, 0:24:37]: Very good. Thank you. [0:24:39, 0:24:40]: All right. [0:24:41, 0:25:01]: We just voted on approving today's uh meeting agenda and it was approved. Uh next item on the agenda is to approve January 19th, 2021 meeting minutes. These were sent um February 14th. Um actually that's the one that Bob sent. Um I misspoke in the earlier version. [0:25:01, 0:25:06]: Um so I'll take a motion to approve the meeting minutes for January. [0:25:08, 0:25:11]: I move that we approve the meeting minutes from January as printed. [0:25:13, 0:25:13]: Second. [0:25:15, 0:25:17]: Hot second, okay. [0:25:17, 0:25:29]: And we'll do a show of hands. Um Barber, you'll need to say yes or no on this one if you want to approve January's meeting minutes and the rest of us will do a show of hands to approve. [0:25:30, 0:25:30]: Yes. [0:25:31, 0:25:32]: Very good. [0:25:34, 0:25:35]: Is to be unanimous. [0:25:36, 0:25:38]: I abstained, I wasn't there present. [0:25:39, 0:25:41]: Okay, ex except for Miss Gan. [0:25:44, 0:25:52]: Thank you. We'll move on to the next item. Next item is a correction to the December 15th meeting minutes. [0:25:53, 0:26:02]: They were approved in the January meeting, but um in further review, as we were putting them away, I found that there was a typographical error. [0:26:02, 0:26:22]: Um I sent that in an email on February 8th with the corrected version of the minutes to reflect the um vote actually for the chair. I also sent the meeting recording for that segment of the December meeting. If anybody wanted to review that section of the meeting, so I'd like to take a moment. [0:26:22, 0:26:27]: motion to or I'll go ahead and make a motion to approve the correction that was [0:26:27, 0:26:37]: The correction to the December 15th, 2020 DDA meeting minutes that was sent to the board February 8th of this year. [0:26:43, 0:26:44]: A second. But [0:26:45, 0:26:46]: Thank you, Art. [0:26:48, 0:26:54]: And we'll is there any discussion on the um correction to the December meeting minutes? [0:26:58, 0:27:09]: I'm not seeing any or to hear, so we'll go ahead and move to a vote to approve the correction to the December 15th meeting minutes. Uh all those in favor, show your hand and Barber Fields say yes or no. [0:27:11, 0:27:11]: Yes. [0:27:12, 0:27:13]: I have stayed. [0:27:13, 0:27:15]: Thank you, Sumikua. [0:27:20, 0:27:20]: All right. [0:27:21, 0:27:36]: Vanessa, you have the votes? Very good. All right. Very good. We'll move on to the main part of the agenda then. Um, just some opening remarks. I met with Mr. McCrae, our uh legal attorney earlier this uh actually what lot last week. [0:27:36, 0:27:50]: To just go over now that we've kind of are wrapping up the purchase and sale agreement with the Sell Vane um transaction. Um I was just checking in on where we were in terms of uh [0:27:50, 0:27:59]: current billing so far and what work we would engage um Mr. McRae with going forward on behalf of the DDA. [0:28:01, 0:28:07]: Mr. Custin, I'm sorry, real quick. Miss Bragg was trying to get on. Oh, thank you. She's on the other side as well. [0:28:08, 0:28:16]: All right. I see a person labeled as Galaxy Note. [0:28:17, 0:28:18]: So I'm gonna let [0:28:18, 0:28:20]: That person speak. [0:28:23, 0:28:24]: Hello. [0:28:25, 0:28:27]: Um Kira, is that you? [0:28:27, 0:28:36]: Oh very good, she's saying in the chat. Let me bring it respond, that's her. Okay, then let me um let me uh bring you in as a panelist. [0:28:40, 0:28:42]: Thank you, Councilwoman. [0:28:43, 0:28:49]: Uh Kira, can you hear us? And are you able to speak? I just want to touch that before we move on. [0:28:52, 0:28:53]: And your mute is on, by the way. [0:28:56, 0:28:57]: Yeah. [0:28:57, 0:29:09]: Okay, can you hear me now? I can hear you, Kira. Thanks for joining. Okay, thank you. Sorry about that. No worries. All right. So uh I was uh just reviewing the conversation I had with Mr. McRae. [0:29:09, 0:29:10]: Um [0:29:11, 0:29:29]: uh last week. So um other than the uh Sylvain transaction, which of course he's he's working to its conclusion, um the uh some items that we had that had been pending, we kind of talked about this in prior meetings, but I just wanted to clarify with the board what [0:29:29, 0:29:48]: We've agreed to as far as uh uh work for the DDA. Uh from this point forward, I I suggested he doesn't necessarily need to attend this meeting. Um, he charges the hourly rate and for him to unless unless there is a reason in advance where we feel like he may need. [0:29:48, 0:30:08]: We made his representation for a given topic on the agenda. I didn't think that was a good use of his time or the city's funds or the DDA's funds to just have him listening in on our meetings. So I just kind of wanted to check that with the board to make sure that there was no disagreement with that approach. But as far as his work. [0:30:08, 0:30:21]: work. There's a couple things that I want to have him take a look at. One is to review current open contracts that the DDA has engaged in. There are two. [0:30:21, 0:30:22]: There is the uh [0:30:23, 0:30:30]: uh master planning uh contract with a firm called TSW. I've mentioned this a few times in this meeting. [0:30:32, 0:30:34]: Uh sorry, Kira, did you have something to say? [0:30:35, 0:30:37]: Okay. I'm sorry, I'm trying to mute. [0:30:37, 0:30:38]: That's fine. [0:30:38, 0:30:58]: Um, so there's the TSW master planning agreement, and we just want him want him to review that just to make sure that there are no um unusual risks with um that contract, and especially given that it's been in that it's currently in a suspended state. The other one was from a couple of years prior. It's a contract that we have with. [0:30:58, 0:31:18]: The firm called JLL. And I think they're like a developer broker, and they were supposed there was no monies exchanged or anything like that. This was a contract where they would get paid if they brought us a developer that was interested in doing business here in the city within the district. So Mr. McCrae is looking at those two contracts just to see if there's any unusual risk. [0:31:18, 0:31:20]: risks that we need to be aware of. [0:31:21, 0:31:24]: I'll pause for any comments or questions on that point. [0:31:27, 0:31:31]: Not seeing or hearing anything. I'm sorry. This is horrible. Um [0:31:31, 0:31:35]: Is the T S W contract suspended due to COVID or for other reasons? [0:31:36, 0:31:45]: I would say yes to both. Um, it was it was suspended for other reasons, but it was further impacted by COVID. But yeah, it all happened around the same time. [0:31:47, 0:31:48]: Okay. [0:31:49, 0:32:09]: Okay. Um the other items I asked Mr. McCrae to help us with is to uh review the facade grant and the program. Um I'll let um Mr. Christian speak to that uh when we get to that point of the agenda. But uh Art, if you're just aware that you know, whatever materials we have that we would like to send over. [0:32:09, 0:32:29]: over to Mr. McCrae for his review. Really, his review is just going to be from a legal perspective, just to say, yeah, you need to have this language in here or no, that language is not appropriate. As far as the operation of the program, I think we're, we're, we're, we're, we're in good shape with uh working with Mr. Peterson on that piece. But just want to let you know that door [0:32:29, 0:32:33]: Doors open if you need his review for anything related to the facade grant. [0:32:33, 0:32:34]: Thank you. [0:32:35, 0:32:35]: Um [0:32:36, 0:32:43]: The the next is an item that I I really need to have a discussion. We need to have a discussion with the city. There's long been a [0:32:43, 0:33:03]: Kind of off on and off, there's been an interest in having uh kind of a formalized intergovernmental agreement between the DDA and the city. Um the city, you know, provides funds to the DDA and it's the sole source of funds for this organization, but there is no formal standing IGA between the two. [0:33:03, 0:33:23]: Two organizations. We purposely limited the IGA that was signed for the purchase and sale agreement to that one transaction because we wanted to, you know, move quickly on that particular transaction and not let it get bogged down with, you know, sort of this larger standing IGA. But I know [0:33:23, 0:33:27]: that at least I have an interest in seeing that sort of um [0:33:29, 0:33:49]: you know, uh established in a written form as far as what the expectations are between the two. So I'll pause on this one also for comment. Um uh council McGann, I I I'd like to hear your thoughts on whether there would be an interest you think from the city's perspective in having an IGA between the DDA and the city. Do you have any any comments on that? [0:33:50, 0:33:51]: Um [0:33:51, 0:33:52]: I don't think that [0:33:53, 0:33:54]: That is unreasonable. [0:33:54, 0:33:57]: I don't think that's an unreasonable request. [0:33:57, 0:33:57]: Um [0:33:58, 0:34:00]: We can see where it goes, but I I think that [0:34:01, 0:34:02]: Um but [0:34:02, 0:34:07]: based off of the Georgia laws with the DDA and the way it's established. [0:34:08, 0:34:20]: Um, you know, whether or not the city and there may be some discussion on whether or not, you know, we need an agreement at this time, you know, based off of the appointments or what even though we're a separate entity. [0:34:20, 0:34:24]: The D DA is a separate entity. But I don't think that it would be an issue. [0:34:25, 0:34:27]: All right, thank you me personally. [0:34:27, 0:34:47]: Thank you. I appreciate that. Um yeah, I I Mr. McCrae advised us low, well, before we get into you know developing one, let's see if the city even, you know, if you think there even is an appetite for that. So that that that's really the purpose of me bringing it up in in this forum. Um Mr. Peterson, I know I will notify them there in council about that. [0:34:47, 0:35:00]: Sure, great. Uh and then I guess let us know if there's any uh you know feedback one way or the other. Um, you know, of course we'll work out the details of what it should or should not include and so forth, but you know, at a minimum I think there should be some expectation of [0:35:01, 0:35:16]: You know, a lot of things that come to mind is, you know, we rely on the city for a lot of the staff services, uh, things like, you know, the website, um, you know, office space, things like that. And and you know, maybe there should be mention of those types of things that that we rely on the city for. [0:35:17, 0:35:20]: Um and there of course there are other things. I'm just speaking top of mind at this point. [0:35:21, 0:35:32]: Um Mr. Peterson, I know you're relatively new to the organization, but I I guess I'll open it up uh for you as as the city liaison to this DEA organization. [0:35:32, 0:35:41]: Any uh if any any comments at this point, or if you could also take that back to your team and and see if there's any interest in an IGA between the city and DDA. [0:35:42, 0:35:48]: Yes, I'll um I'll ask um the city about that. I'm for an IGA because um [0:35:49, 0:35:55]: lets everyone know what their roles are, what expectations are. So um I I'll definitely ask about that. [0:35:55, 0:35:57]: I'll I'll ask I'll send Mr. Knight an email about it. [0:35:58, 0:36:06]: Very good. And and I'm not, you know, I wanted to bring it up to this group first before, you know, reaching out to Mr. Knighton or others in the city. So thank you. [0:36:06, 0:36:11]: Um I'll open it up for any other comments, discussion, anything on the intergovernmental agreement. [0:36:16, 0:36:18]: Or potential, I should say. [0:36:19, 0:36:19]: All right. [0:36:20, 0:36:25]: Not hearing any. The uh the last item I spoke with Mr. McCrae about was uh this actually came up. [0:36:26, 0:36:30]: When we were doing the officer votes and I think it was the November meeting. [0:36:31, 0:36:31]: Um [0:36:32, 0:36:47]: That there is a bylaw in our in the DDA bylaws, there is a um officer position for a recording secretary. And we chose at that time not to fill that position because there was kind of a [0:36:47, 0:36:47]: General [0:36:48, 0:36:49]: Філлинг [0:36:49, 0:36:53]: That it was a bit redundant with the actual secretary. [0:36:54, 0:37:00]: And uh, but in order for us to you know codify that, we'd have to uh update the bylaws. [0:37:00, 0:37:10]: Um interesting update. Um when I was transitioning our uh secretary records from myself over to Mr. Schweigert uh about a month ago. [0:37:10, 0:37:21]: Um, I discovered there's actually a new version of the DDA bylaws that I was not aware of previously. So um there was a version that was updated in April 2015. [0:37:21, 0:37:23]: And also [0:37:23, 0:37:25]: References a recording секретарі. [0:37:26, 0:37:30]: Um so there's two points with this. One is I think we need to [0:37:31, 0:37:45]: Clarify and perhaps revise the DDA's bylaws to make sure that we are all in agreement as to what the current version is. Um, but specifically, I think we'd like to address the issue of [0:37:46, 0:38:06]: Perhaps removing the need or the, you know, the naming of a recording secretary in our bylaws. And there may be other things that we want to consider updating in the bylaws as we're going through it. But I just wanted to bring that up for really for discussion at this point. And I handed the both versions of the bylaws over to Mr. McCray for. [0:38:06, 0:38:12]: for him to begin his review. So I'll just open it up to anyone who wants to uh speak to that. Any comments? [0:38:18, 0:38:22]: Is there any way that we can eliminate or combine the [0:38:23, 0:38:23]: Position of [0:38:24, 0:38:25]: Uh [0:38:26, 0:38:35]: Secretary and recording secretary. I mean m miss Miss Holliday is very graciously uh essentially acting as our recording secretary. I don't know that she wants that to be [0:38:36, 0:38:37]: Formally um [0:38:37, 0:38:38]: Um [0:38:39, 0:38:40]: Codified. [0:38:40, 0:38:41]: But [0:38:43, 0:38:53]: Uh yeah, to answer your question, yes. It's just a matter of updating, you know, we'd have to uh formally approve the updates to the D D A bylaws and then it would either [0:38:53, 0:39:05]: eliminate naming having to name the a recording secretary or we could write it such that it's assumed that the secretary position would serve as that [0:39:05, 0:39:14]: in that role. I mean there's a number of ways which we can go about addressing that, but yeah, it would it would in in in any way we go about it, we'd have to update the bylaws to address it. [0:39:17, 0:39:24]: Did that answer your question, uh? Yeah, I I I I guess I guess my preference would be just to to eliminate the position of recording secretary. [0:39:24, 0:39:26]: Uh just eliminate that title, I guess. [0:39:27, 0:39:27]: Right. [0:39:28, 0:39:37]: Yeah, I I don't know the ins and outs legally as to whether there's a preference one way or the other, but you know, that's what I would defer to Mr. McCray and of course the board on their preference. [0:39:37, 0:39:46]: Any other discussion on those points? Yeah, what are the the differences between the two? Like what what does one do that the other one [0:39:48, 0:40:03]: Doesn't it? It's a good question. I think essentially they both serve a secretary role and I I am not an expert on this, but the recording secretary, as I understand it, can be um someone who is not a voting member of the DDA. [0:40:03, 0:40:14]: So you know we could hire someone or assign that to someone in the city staff like like we're doing. Um but but whereas the secretary actually is a [0:40:14, 0:40:29]: The secretary is a named position. It's it as per the, as far as I understand it, per the statute. So the state law says you have to have a secretary, chair, vice chair, and treasurer. The recording secretary is optional depending on how the bylaws are written. [0:40:30, 0:40:37]: So I see the secretary as kind of kind of a custodian in a in a way. Yeah. A an archival custodian uh to [0:40:38, 0:40:40]: To come up with a title, but uh [0:40:42, 0:40:50]: But that's probably the difference. Whereas the the recording secretary, my understanding, basically doing what Miss Holiday is doing, which is actually [0:40:50, 0:40:51]: Um [0:40:51, 0:40:53]: Oh taking the minute. [0:40:56, 0:40:56]: All right. [0:40:57, 0:40:58]: Any other thoughts or questions? [0:41:01, 0:41:13]: All right, we'll move on. Let's see the next item on the agenda. Those that's all the updates I had. So uh thank you for indulging me on that. And I'll turn it over to uh Barber uh Richardson for the treasurer's update. [0:41:17, 0:41:18]: Okay, so [0:41:19, 0:41:22]: Nothing has changed as of well [0:41:22, 0:41:30]: Couple of things. We were able to get everything, the signature cards and everything switched over from the prior treasurer to myself and Roger. [0:41:30, 0:41:32]: Um so we are now um [0:41:33, 0:41:34]: Have custody of the bank account, if you will. [0:41:35, 0:41:37]: As of January thirty first. [0:41:37, 0:41:42]: The bank balances have remained the same. There was no activity in the month of January. [0:41:43, 0:41:45]: So just for reference, that operating account. [0:41:46, 0:41:50]: Is ninety seven thousand four hundred four dollars and sixty one cents. [0:41:51, 0:41:55]: And the facade grant is forty four thousand. [0:41:55, 0:41:57]: Nine hundred seventy two dollars and five cents. [0:41:58, 0:42:02]: This FYI going forward, I will have actual financial reports to um [0:42:03, 0:42:09]: to provide us is that at the time and when we got all this switched over, um, hadn't had enough time to get that done yet. [0:42:09, 0:42:10]: But um [0:42:10, 0:42:11]: Also [0:42:12, 0:42:18]: As we stated last month, fifty thousand dollars of the operating grant needs to be transferred over to the facade grant. [0:42:18, 0:42:19]: You will see that [0:42:19, 0:42:22]: happened in February. In fact it already has happened. [0:42:22, 0:42:27]: Just not in January. Um, so the January balances that I gave you are as of the statement. [0:42:28, 0:42:29]: January thirty first. [0:42:30, 0:42:30]: Um [0:42:31, 0:42:34]: Other than that, there's nothing let me look at my list. [0:42:35, 0:42:44]: A few outstanding invoices that will get caught up this month. Um, there's one$830 invoice due to TSW. [0:42:45, 0:42:52]: as well as a few uh invoices that we owe to the city for uh CDA training and plaques. [0:42:52, 0:42:54]: Main badge is just like that, but [0:42:55, 0:42:58]: Um, as I stated, all those things will be paid out this month. [0:42:58, 0:42:59]: And um [0:43:01, 0:43:02]: We will begin having [0:43:03, 0:43:07]: real financial reporting, uh, for our next meeting. [0:43:07, 0:43:08]: But [0:43:08, 0:43:10]: There are any questions? [0:43:10, 0:43:12]: I will entertain them. [0:43:17, 0:43:19]: Okay, then that concludes my report. [0:43:21, 0:43:30]: Thank you, Barber. Uh great work. I really should appreciate you stepping up for the treasurer role. And uh I think we've got a good support foundation. So thank you for your work on that. [0:43:30, 0:43:35]: Uh next up, uh Bob, uh any secretary updates for the for the board? [0:43:35, 0:43:39]: Uh I I met with um Mr Um [0:43:39, 0:43:43]: The city attorney, I can't I his name escapes me right now, but um [0:43:44, 0:43:51]: Uh I met with him last week. He came came by the house'cause he needed my signature on uh one of the PSA documents. [0:43:51, 0:43:53]: And so I I did that. [0:43:53, 0:43:53]: Uh [0:43:54, 0:44:03]: signed multiple copies and uh it's my understanding that the I'm talking about the the the restaurant PSA. Um that that that is um [0:44:03, 0:44:04]: being finalized. [0:44:06, 0:44:09]: And hopefully at this point it should be pretty pretty wrapped up. [0:44:12, 0:44:14]: А до нем [0:44:15, 0:44:15]: That's [0:44:16, 0:44:17]: That's all I have. [0:44:18, 0:44:19]: Great. Any questions for Bob? [0:44:23, 0:44:28]: All right, we'll move on to the next item. So Mr. Christian, uh facade brand update. [0:44:31, 0:44:32]: Yes, good evening, everyone. [0:44:33, 0:44:38]: So a few of us basically had a committee meeting regarding the facade grant on February tenth. [0:44:39, 0:44:40]: And it was very productive, included um [0:44:42, 0:44:45]: Mr. Peterson, the chair, myself, Barber Richardson, the treasurer. [0:44:46, 0:44:48]: Uh Kira Bragg's uh Main Street. [0:44:48, 0:44:49]: Yeah. [0:44:49, 0:44:50]: I miss anybody. [0:44:50, 0:44:50]: Sure. [0:44:51, 0:44:55]: And we were discussing basically where things are with the current uh reimbursement. [0:44:56, 0:44:57]: Or Fletcher and Suns. [0:44:57, 0:44:58]: And [0:44:59, 0:45:01]: Had some good conversation about that. I'll be [0:45:02, 0:45:08]: uh getting back in touch with Mr. Fletcher because I did meet with him in person and, you know, discuss the facade grant. [0:45:08, 0:45:12]: To make sure that the receipts that I get from him, you know, are covered. [0:45:13, 0:45:15]: uh according to the contract. [0:45:16, 0:45:20]: Uh, one thing that we did mention uh during that committee meeting was [0:45:21, 0:45:23]: The idea of [0:45:23, 0:45:25]: Акчели коверні [0:45:26, 0:45:27]: Sign permitting fees. [0:45:27, 0:45:29]: That may be charged to [0:45:29, 0:45:30]: Any [0:45:30, 0:45:31]: Um [0:45:31, 0:45:32]: facade grant. [0:45:32, 0:45:33]: Grantees. [0:45:34, 0:45:36]: And um that's something that [0:45:36, 0:45:37]: Um [0:45:37, 0:45:41]: I'd definitely be making a motion for so we can have some discussion just to see where things are with that. [0:45:42, 0:45:43]: Um [0:45:43, 0:45:43]: Yeah. [0:45:44, 0:45:47]: We discussed uh of course finishing out that project. [0:45:48, 0:45:52]: Um, shoring up our policies and procedures for future. [0:45:52, 0:45:57]: uh facade grant and the application process, the reimbursement process, et cetera. [0:45:58, 0:45:59]: Uh [0:46:00, 0:46:01]: Roger had brought up yeah. [0:46:02, 0:46:03]: The need for [0:46:03, 0:46:07]: The website being updated with links that are current and active. [0:46:07, 0:46:08]: To [0:46:08, 0:46:09]: Current information. [0:46:10, 0:46:14]: But uh Mr. Peterson also brought up that well, we definitely need to fix that website first. [0:46:15, 0:46:16]: Um [0:46:16, 0:46:21]: But we'll need those, you know, the updated materials in order to put or link to the website. [0:46:22, 0:46:23]: And uh [0:46:23, 0:46:24]: Let's see, let's see. [0:46:26, 0:46:28]: Talked about the need for marketing the program. [0:46:28, 0:46:30]: We've got a good piece uh [0:46:30, 0:46:33]: Good amount of money funds in that program that uh [0:46:34, 0:46:43]: And according to Ms. Richardson, we'll be increasing by 50,000 as you know have we known for a few months now, at least since I've been on the board. [0:46:43, 0:46:45]: And [0:46:45, 0:46:48]: Also I brought up the idea of whether [0:46:49, 0:46:51]: I'd love to know get you all's input on whether [0:46:52, 0:46:53]: The board members thinks that [0:46:54, 0:46:55]: Uh business cards. [0:46:55, 0:46:58]: uh for the board members would be something that we might want. [0:46:58, 0:46:59]: Um [0:46:59, 0:47:02]: As we market program, as we speak to business owners. [0:47:03, 0:47:06]: You know, to try to promote economic development and, you know, movement in the downtown area. [0:47:07, 0:47:08]: And um [0:47:09, 0:47:11]: That's my report so far. [0:47:11, 0:47:13]: Did anyone have any questions or comments? [0:47:19, 0:47:39]: I'm not hearing any, but I will make uh one update. Um Vanessa helped us correct the broken links that were on the website for the facade grants. So that that's that's now been those links have been restored. So we have the original documents uh shown there. Uh and I'll just say um Art, thank you for you know taking the lead on this project. Uh I know [0:47:39, 0:47:53]: It's uh taking a lot of your time and it's uh you've done some great work and making some progress. Uh you and Mr. Peterson and Kira and all involved. Uh it's been um we've made more progress in the last few weeks than we have in the last couple of years. [0:47:54, 0:48:00]: Roger. Yes. Roger, hi. If um I might um also add [0:48:00, 0:48:07]: Um in that committee meeting there was also some discussion with regard to um the amount [0:48:07, 0:48:13]: um being looked at as far as the facade grant program maybe having um [0:48:13, 0:48:17]: Um a another aspect of the program. [0:48:17, 0:48:21]: Where um a larger grant might be available to [0:48:21, 0:48:23]: А проспектив бізнес. [0:48:23, 0:48:25]: That has a larger project. [0:48:25, 0:48:29]: So I think um scope of project was something that [0:48:29, 0:48:30]: You we [0:48:30, 0:48:35]: also talked about. So that's something that you all might want to look at in the future as well. [0:48:38, 0:48:40]: Thank you, appreciate that, Kira. [0:48:46, 0:48:52]: All right, any other comments uh for um art on the facade grant? [0:48:54, 0:48:55]: Um [0:48:55, 0:48:56]: Art, did you want to go ahead and [0:48:57, 0:49:00]: Consider the motion at this stage for [0:49:00, 0:49:03]: Yes, I move that the [0:49:03, 0:49:05]: DA board covers [0:49:05, 0:49:07]: Permitting signed fees. [0:49:08, 0:49:10]: Including retroactively for [0:49:10, 0:49:11]: our current um [0:49:13, 0:49:16]: application that is still out there that hasn't been fully re reimbursed. [0:49:19, 0:49:21]: And FYI, the current [0:49:21, 0:49:26]: Signed permit sign permitting fee is two hundred and twenty five dollars charged by the city of Stockholm. [0:49:29, 0:49:49]: I'd like to second the motion, but I I want to offer an amendment to it, uh, under the condition that the sign is part of the facade. So we we want to clarify that we wouldn't pay for the sign fee if it's a separate sign, but if it is and and just to kind of bring everyone up to speed, the the current applicants um [0:49:49, 0:50:02]: um has um a kind of a a a retro looking um I'll call it a mural that is the sign for the business, but it's painted onto the building. And and that's a that's a bit of the um [0:50:03, 0:50:17]: um where the sign fee overlaps with the actual facade. So I I think um art to the point we're bringing to the board today, it's uh approval to pay the to cover the reimburse the cost of the sign fee. [0:50:17, 0:50:22]: if it if the sign is part of the uh facade for the uh facade grant application. [0:50:23, 0:50:32]: I accept that amendment. All right, great. Is this a um reimbursable fee or is it something that we would pay on the front end? [0:50:36, 0:50:37]: Mark, did you want to take that? [0:50:38, 0:50:40]: Well, it can be either or. [0:50:40, 0:50:41]: Um [0:50:41, 0:50:43]: What do you all what do you all think? [0:50:44, 0:50:47]: Um, I would recommend that it be reimbursable. [0:50:48, 0:50:49]: Yeah, of course. [0:50:50, 0:50:50]: A lot. [0:50:52, 0:50:53]: Okay. [0:50:55, 0:50:59]: But then I can I'll amend the motion to say that it would be reimbursable. [0:50:59, 0:51:00]: All right. [0:51:00, 0:51:00]: Correct. [0:51:01, 0:51:21]: So we have a motion for the uh DDA to consider um reimbursing the sign fee, the city's signed fee of two hundred twenty-five dollars. Um, if the sign is part of the facade. Um and it's been uh the motion's been made and it has been seconded. Uh any other discussion? I'm sorry, one thing, Roger. I don't want to put the [0:51:21, 0:51:26]: The amount in there just in case that changes. Oh sure. That was just for F FY. [0:51:26, 0:51:28]: Good point. Thank you. I agree. [0:51:29, 0:51:35]: Um any other discussion? Who was the second the purpose of this meeting? Uh I was okay. [0:51:36, 0:51:39]: We love it because we have started down that path already. [0:51:40, 0:51:41]: Any other discussion? [0:51:43, 0:51:46]: Not seeing or hearing any, so let's go ahead. I'm sorry. [0:51:48, 0:51:50]: Thought I heard something. All right. [0:51:51, 0:52:04]: Well, let's go ahead and um and um and call for a vote. So uh yes in favor of reimbursing the signed feat as part of the facade grant. So Barber, you'll need to speak to that, and then the rest of us will show our hand if we're in favor of it. [0:52:05, 0:52:06]: Yes. [0:52:07, 0:52:13]: Great. Um all right, so I think the motion passes. It looks unanimous. Thank you, everyone. [0:52:15, 0:52:18]: Uh Art, anything else uh to share with the board? [0:52:18, 0:52:19]: Uh no, that's it. [0:52:20, 0:52:20]: Very good. [0:52:20, 0:52:27]: Thanks again. All right, next item on the agenda is uh city staff updates. So Mr. Peterson, if you want you have the floor. [0:52:32, 0:52:32]: Okay. [0:52:34, 0:52:38]: All right. Thanks a lot, Roger. I don't have an update uh for now. I sent [0:52:38, 0:52:44]: You all uh templates for the facade grant and uh some other documents relating to that. [0:52:45, 0:52:59]: And um help you all receive those. If you didn't, please let me know. Uh Roger, I had a quick question for you regarding the IGA. Has there ever been an IGA between the DDA and the city? Or will this be possibly the first one? [0:53:00, 0:53:01]: Um [0:53:02, 0:53:21]: Maybe um uh councilman Gadd, I might defer that to you because I think you have a longer history. There may have been an IGA with the earlier incarnation of the DDA, but I'm not aware of one that has been in place since the DDA was reconstituted, which I think was around 2014, 2015, something. [0:53:21, 0:53:30]: Uh 2015, I think we started back up. Um Miss Holiday, didn't we have an IGA? We hadn't or was that just an agreement with the chair? [0:53:31, 0:53:39]: With uh with uh Mr. W JT Williams. It was just an IGA for his position, or did we have an IGA? [0:53:39, 0:53:41]: Originally. That was before [0:53:41, 0:53:42]: I think I we started [0:53:44, 0:53:48]: We had a new g uh D DA established in twenty fifteen. That's when I came on. [0:53:49, 0:53:51]: In twenty fourteen, I was working on. [0:53:53, 0:54:06]: taking care of that old DDA um issue that we had. Do you recall that that there was an IGA at that time? The the agreement with him was as executive director, but not with the board. [0:54:07, 0:54:09]: As a whole. Okay. [0:54:09, 0:54:12]: So we I don't believe we've had an IGA. [0:54:12, 0:54:14]: And you know [0:54:15, 0:54:16]: Um [0:54:16, 0:54:18]: I don't believe we've had one in the past, no. [0:54:19, 0:54:19]: Okay. [0:54:20, 0:54:23]: And if it if it stipulates to certain things, um [0:54:23, 0:54:26]: I don't know how mayor and council will feel about it. [0:54:27, 0:54:28]: But you know [0:54:28, 0:54:30]: I'm definitely open to it. [0:54:31, 0:54:32]: Okay. [0:54:33, 0:54:38]: And I've already sent an email asking them about the IGA. What what are thoughts on, you know? [0:54:38, 0:54:44]: So we can just lay out things so the DDA can, you know, be assured that these are [0:54:45, 0:54:50]: things that we will continue to do as a city. Okay. Now uh council member again I have a question for you. [0:54:50, 0:54:55]: Does uh would it be best if the DDA would provide you with a template first? [0:54:56, 0:55:10]: So you can show it to council to see what what their views are on that on that template or on that example. Well, exactly. Okay so I just threw out that we discussed possibly in IDA, but the DDA would definitely have to draft. [0:55:10, 0:55:24]: Um immersion first prior to I wouldn't just yeah, absolutely okay. All right, just checking so like a quick little summary of okay. Okay, so Roger, I'll I'll send you uh an example. [0:55:25, 0:55:25]: Um [0:55:27, 0:55:29]: And then we can get it to to Councilwoman Gantt. [0:55:29, 0:55:30]: Excellent. [0:55:30, 0:55:31]: Thank you. [0:55:31, 0:55:34]: Mm-hmm. Anything else for the groups, Regison? [0:55:34, 0:55:35]: That's it. [0:55:35, 0:55:36]: All right, thank you. [0:55:36, 0:55:39]: I d I never got anything, Mr. Peterson. If you sent it to [0:55:41, 0:55:43]: I never got anything from you. [0:55:43, 0:55:57]: I can forward it to you, Samiqua. Okay. Okay. Yeah, I'll send it to the whole board. Okay. Thank you. It was just sent to those of us that were working on the uh facade grant um work. [0:55:57, 0:56:00]: But it'll it'll I'll I'll send it out to everybody now. [0:56:01, 0:56:02]: Thank you. [0:56:03, 0:56:12]: All right, next up is the um Main Street Advisory Board updates. Uh so Barber, I'll start with you and then we can turn it over to Kira unless you want to reverse that. [0:56:14, 0:56:18]: Yes, please go to Kira. Um I unfortunately had to miss the last meeting. [0:56:19, 0:56:21]: Okay. All right, Kira, you have the floor. [0:56:22, 0:56:38]: Okay, um good evening everyone. Um I just have a a very quick update with the um Main Street program. Um because of COVID, we haven't been as public with our programs and community activities, but we have been [0:56:38, 0:56:41]: Um working behind the scenes on several projects. [0:56:42, 0:56:43]: Uh we are um [0:56:44, 0:56:51]: Moving forward with the alleyway uh revitalization project that is um the area that is located. [0:56:51, 0:56:54]: between Martin Luther King Singer Heritage Trail [0:56:54, 0:56:55]: And Burke Street. [0:56:56, 0:57:04]: Um that particular program project rather is in the um design phase as far as the engineering is concerned. [0:57:05, 0:57:12]: So we're just waiting to um get those drawing back drawings back from um Falcon Design who is um the [0:57:12, 0:57:16]: design um engineering company that is working with us on that. [0:57:16, 0:57:17]: particular project. [0:57:17, 0:57:21]: Um we are also moving forward with. [0:57:21, 0:57:27]: Um the revitalization of um one fourteen Martin Luther King Senior Heritage Trail. [0:57:27, 0:57:29]: Which is a um [0:57:30, 0:57:31]: City owned. [0:57:31, 0:57:37]: Building in the downtown area that had been um without a tenant for [0:57:37, 0:57:42]: Um several years and was um pretty much an eyesore in the downtown area. [0:57:42, 0:57:54]: So we are working to revitalize that particular site so that it we can attract a business, preferably retailer restaurant, to that particular location. [0:57:54, 0:58:01]: Uh we are also working on the transitioning of the Ted Strickland Community Center. [0:58:01, 0:58:02]: to um [0:58:02, 0:58:05]: Беку майт. [0:58:05, 0:58:14]: Program office, or rather the downtown program office, which would house the Main Street program, economic development. [0:58:14, 0:58:28]: and also serve as a welcome center for the downtown area in the city of Stockbridge. So we're got three construction projects that are in the works at this point. [0:58:29, 0:58:37]: And we are also preparing for our um annual planning. Um one of the requirements for the Main Street program is to [0:58:37, 0:58:39]: do an annual um [0:58:40, 0:58:42]: Working ri and planning retreat. [0:58:42, 0:58:48]: And our board at our last meeting, which was held on um February twelfth. [0:58:49, 0:58:57]: has made the request that I come to the Downtown Development Authority Board to ask that this year's retreat [0:58:57, 0:59:17]: Um be a joint retreat, a joint planning retreat with the Downtown Development Authority and the Main Street Advisory Board. We are excited about the new leadership and the direction that the DDA is going at this time, and we feel that it's definitely opportune, would be opportune. [0:59:17, 0:59:22]: For us to come together, the two groups come together to start. [0:59:22, 0:59:24]: Um with our planning for um [0:59:25, 0:59:26]: Long range. [0:59:26, 0:59:33]: So I would just put that out there to you all and um if that is something that you all would desire as well. [0:59:34, 0:59:38]: I will um work with you all so that we can um put that. [0:59:38, 0:59:40]: um planning session together. [0:59:41, 0:59:42]: And um [0:59:42, 0:59:50]: That should be happening within the next few months. So if that's something that you all would like to do, we'll definitely start that planning. [0:59:52, 0:59:54]: And um that is all that I have right now. [0:59:56, 0:59:58]: Thank you, Kira. Um [0:59:58, 1:00:12]: Any any discussion on Cira's updates specifically? I'd like to hear everyone's thoughts on uh you know that what I guess what I'd maybe call a strategic planning session, a joint planning session between the two groups, the DDA and the Main Street Advisory Board. [1:00:13, 1:00:17]: Sure. I think that is an awesome idea. I think it'll be great for um [1:00:18, 1:00:20]: Us to be on the same page and be moving in the same direction. [1:00:21, 1:00:22]: Right. [1:00:22, 1:00:23]: Uh Ditto. [1:00:25, 1:00:26]: I agree. I agree. [1:00:27, 1:00:29]: Awesome. Okay. [1:00:29, 1:00:31]: This is fabulous. [1:00:31, 1:00:35]: Um so I will um get in contact um [1:00:35, 1:00:37]: with um Roger. [1:00:37, 1:00:45]: And we will um look at the calendar and um we'll start uh working on [1:00:45, 1:00:48]: Um calendaring this particular session. [1:00:48, 1:00:55]: And um then we'll move forward from there and make sure that we give you all updates on um the plans for that particular session. [1:00:56, 1:01:02]: Uh Kira, I have a question that what I'm sorry. Um someone's starting to speak. [1:01:03, 1:01:06]: Well, I had a question as well, but go ahead. Um [1:01:07, 1:01:10]: All right. So my question was uh what [1:01:10, 1:01:18]: Uh what amount of time are we kind of considering? Um I know that that has sometimes ranged from a half a day, full day. [1:01:18, 1:01:23]: overnight type thing or whatever. So what what do you have in mind, Kira, as far as the duration? [1:01:24, 1:01:27]: Right. As part of our um accreditation process. [1:01:27, 1:01:34]: We have to dedicate at least four hours to um annual planning with regard to the Main Street program. [1:01:34, 1:01:38]: So um we have in the past had um [1:01:39, 1:01:45]: Um session, you know, half day sessions that we have conducted on the weekend to ensure [1:01:46, 1:01:49]: that um everyone was um able to attend. [1:01:50, 1:01:53]: Um so we would like to have um at least reserve [1:01:53, 1:01:56]: Like to reserve at least four hours for that. [1:01:56, 1:01:57]: Um [1:01:57, 1:01:58]: Мірень [1:01:58, 1:02:05]: Now, as far as the itinerary is concerned, there may be I don't know if there are things that D DA would want to [1:02:06, 1:02:13]: um work on um you know that wouldn't require that much time but we are required to have a four hour session. [1:02:14, 1:02:15]: Thank you. [1:02:16, 1:02:16]: Council McGain. [1:02:19, 1:02:21]: Thank you. Um [1:02:21, 1:02:25]: Cura Cura's I mean, Main Street's um [1:02:25, 1:02:29]: retreats are very enlightening. The ones that I have attended. [1:02:29, 1:02:31]: I'm I haven't p attended any lately. [1:02:31, 1:02:33]: But I think that it would be a [1:02:33, 1:02:34]: Tremendous. [1:02:35, 1:02:42]: of us it would be outstanding if we could join in with Main Street um being that they are in the downtown [1:02:43, 1:02:45]: The D DA's map errors. [1:02:45, 1:02:53]: Um I also uh Ms. Braggs, I wanted to ask you about the building. You mentioned one fourteen Main Street, I believe. [1:02:53, 1:02:55]: That's the one. [1:02:55, 1:03:04]: Councilwoman Gantt, um, you froze on my um screen for a few minutes. So I didn't hear the first part of your question. Would you mind uh re [1:03:04, 1:03:05]: Um [1:03:05, 1:03:13]: Asking again, please. Sure. Well, first I was commending Main Street's retreats actually and was stating that I think it's a great idea if [1:03:13, 1:03:17]: Main Street and DDA join forces to have that retreat. I I think that would be awesome. [1:03:17, 1:03:25]: Um, the ones that I did go to early on, I thought were really, really good. Um, but my question really was about 114 Main Street. [1:03:26, 1:03:30]: Um yes. Where are you at renovating that? [1:03:30, 1:03:35]: Um I will I'm glad it's being done right now, but I was actually gonna ask the DDA. [1:03:36, 1:03:43]: um the development authority to I saw something recently in another city in Henry County where the DDA [1:03:43, 1:03:48]: took a building and white boxed it and then but they held on to it for a couple of years, but they sold it. [1:03:49, 1:03:51]: Um, I was doing a title thing for it. [1:03:52, 1:03:52]: And so [1:03:53, 1:03:53]: Um [1:03:54, 1:03:55]: Where are we right now? [1:03:56, 1:03:59]: Where is Main Street right now with the one fourteen building? [1:04:00, 1:04:04]: Okay, um we have actually um just recently hosted [1:04:04, 1:04:13]: A meeting with um the city manager, our economic development director, Mr. Peterson, and our facilities manager to [1:04:13, 1:04:15]: Um, look at the um [1:04:15, 1:04:19]: Initial quotes that we've received from different um general contractors. [1:04:20, 1:04:22]: Um, we have another meeting scheduled this week. [1:04:23, 1:04:24]: Um to [1:04:24, 1:04:29]: Um, finalize the procurement process that we need to go through in order to [1:04:29, 1:04:30]: Um select [1:04:30, 1:04:32]: Um a general contractor for that work. [1:04:33, 1:04:36]: But we did just some initial estimates to just kind of see. [1:04:36, 1:04:38]: Um, how much [1:04:38, 1:04:41]: Um, we were looking at with regard to costs for the interior. [1:04:42, 1:04:48]: our work and then the roof work as well. The roof is the the main concern for this particular [1:04:48, 1:04:51]: Um project because it is in such bad shape. [1:04:51, 1:04:56]: Um so we're right now at the pricing stage and then um [1:04:56, 1:04:59]: hopefully we'll be moving to actually trying to [1:04:59, 1:05:03]: Hire a general contractor within the next two months or so. [1:05:04, 1:05:05]: Okay. [1:05:05, 1:05:09]: And in regards to that, are you just white boxing it? [1:05:09, 1:05:23]: Is that yes, it's gonna be just a white box situation. Um we want the grease trap attached to that. I know we at one point we thought it was a grease trap there, but it is not for the other building. Can it attach? Is it attached? What's the story there? [1:05:23, 1:05:28]: Um there is a grease trap at the rear of that building and it can be attached. [1:05:28, 1:05:30]: Um, to that building. [1:05:30, 1:05:34]: Um the you know the plumbing infrastructure would have to be put in because right now [1:05:35, 1:05:37]: Ідезна, імен до з позиціон бин. [1:05:38, 1:05:41]: One fourteen, it is not attached to one fourteen. [1:05:41, 1:05:44]: So um it would have to, you know, be plumbed. [1:05:45, 1:05:46]: to um [1:05:46, 1:05:51]: To service that particular address, um, which you know is an option. [1:05:52, 1:05:53]: So um [1:05:54, 1:06:01]: depend on what you know that's excellent. Listen, I I'm I'm glad it's being done. I know we looked at it earlier on. Um and you I think you were there. [1:06:02, 1:06:05]: When it was raining we had to get the lock changed in order to get in, but [1:06:05, 1:06:08]: That's really good. Um [1:06:09, 1:06:19]: I was gonna bring that up tonight with the DDA. I didn't know you guys had started had gotten gotten that far in the process because uh what again, one of the cities in um Henry County. [1:06:19, 1:06:21]: The downtown develop Main Street is [1:06:22, 1:06:24]: The downtown development authority. [1:06:25, 1:06:25]: Had [1:06:26, 1:06:27]: Done the same exact thing. [1:06:28, 1:06:29]: But they also did it. [1:06:30, 1:06:32]: With the thought of [1:06:32, 1:06:36]: Um, sell in the building. They didn't sell it until about [1:06:36, 1:06:37]: Um [1:06:39, 1:06:42]: for two years later, but they sold it at a profit. [1:06:42, 1:06:43]: Um [1:06:45, 1:06:55]: which then went to that DDA. So I'm hoping that the DDA will come up with, you know, future projects that they can do the same on real estate projects. Right. Kind of like what Madison did. [1:06:56, 1:06:57]: Right. [1:06:57, 1:07:02]: And um, you know, that is what we're looking forward to in Stockbridge as well. [1:07:03, 1:07:04]: Um, you know. [1:07:04, 1:07:08]: holding on to the building in in some way so that we can [1:07:08, 1:07:13]: kind of control type of business goes into that particular location. [1:07:13, 1:07:19]: you know, we don't want to s sell it and see another office building placed in the downtown. [1:07:19, 1:07:21]: We're looking for restaurant or retail. [1:07:22, 1:07:23]: So um [1:07:23, 1:07:28]: I think that that building is going to be we would like to see that building be a partnership between [1:07:29, 1:07:34]: the main street program and the D DA and you know, iron out all of those details. And that's something [1:07:34, 1:07:37]: That would be the one of the number one um [1:07:38, 1:07:40]: Topics for our joint retreat. [1:07:42, 1:07:45]: Okay. So there is there an after repair value? [1:07:46, 1:07:51]: For the one fourteen y you Main Street is thinking we will lease it, not sell it. [1:07:51, 1:07:54]: That's the ultimate goal right now. Do you know? [1:07:55, 1:08:00]: That that would be my recommendation. Again, that's something that, you know, we can tackle at the retreat. [1:08:00, 1:08:09]: and be able to, you know, d discuss it full scale. But it would be my recommendation to lease the building um and see um [1:08:09, 1:08:14]: what long term tenant we might be able to find, whether it's a restaurant or retail. [1:08:14, 1:08:18]: And then maybe go into discussions about, you know, the cell of the building. But [1:08:18, 1:08:21]: I would prefer to see it a leased space. [1:08:21, 1:08:27]: So that we can make sure that we get the the proper mix of retail and restaurant in the downtown area. [1:08:30, 1:08:31]: Okay, thank you. [1:08:33, 1:08:36]: Mm-hmm. Now did you ask me about cost or [1:08:36, 1:08:38]: Did I hear you incorrectly? [1:08:39, 1:08:45]: You did ask about cost. Well, I did ask about cost. Well in fact, uh well there was a question about cost. [1:08:45, 1:08:53]: Actually, the question was, is there an um after repair value for one fourteen where they're gonna lease and sell it? But I the cost in regards to that. [1:08:54, 1:09:07]: Is it come what budget is it coming from? Is it coming from Main Street or is it something that the DDA can help with? I'm just just curious that where the funds are coming, which listen, I think it's an excellent idea. I want it. [1:09:07, 1:09:17]: I think we should have done it a lot a while ago. Um right. Um and I I really, you know, I met about this last year. Well, yeah, it was in 2020. [1:09:18, 1:09:18]: Um [1:09:19, 1:09:23]: But I'm glad to see something happening. I'm I'm really excited about that. And I think we can get [1:09:24, 1:09:30]: some pretty good tenants in there considering we have the amphitheater. So is it something that we need to ask for in a budget? [1:09:31, 1:09:33]: Or is it already budgeted for? [1:09:34, 1:09:40]: Um this is something that uh that we'll be talking about at a meeting that we have scheduled on Thursday. [1:09:40, 1:09:45]: Um I uh and uh Mr. Peterson might want to also um [1:09:45, 1:09:46]: Chime in on this, but [1:09:47, 1:09:51]: We're going to probably be going coming forward to the city council. [1:09:52, 1:09:54]: Um once the actual um [1:09:55, 1:09:58]: funding source has been um pinpointed. There are [1:09:58, 1:09:58]: Um [1:09:59, 1:10:11]: two funding sources and one of those being um a splash funded project. So uh we'll be coming to the city council um pretty soon with um a recommendation [1:10:11, 1:10:15]: or rather a proposal with regard to funding this particular um project. [1:10:17, 1:10:18]: Thank you. [1:10:19, 1:10:20]: Okay. [1:10:25, 1:10:27]: Mr. Peterson, anything to add to that? [1:10:29, 1:10:34]: All right. And Mr. Sears, it looks like you were trying to come on. Did you have a comment or question? [1:10:40, 1:10:46]: Yeah, I'm not hearing you and you're still on mute. Um anyone else? Any um comments or questions for um [1:10:47, 1:10:48]: The uh May Street update. [1:10:51, 1:10:57]: Uh there is a comment from the chat. We don't usually monitor this, but I have it over here so uh the [1:10:57, 1:11:00]: Question is asked, is the city looking to purchase [1:11:00, 1:11:04]: Raw land to develop for housing or commercial buildings. [1:11:05, 1:11:09]: I think that's a little out of scope for the the topic we were just covering. [1:11:09, 1:11:15]: Um I uh ki uh Council McGann is did do you wanna take that question? [1:11:17, 1:11:28]: Well, anything dealing with personnel, litigation, and real estate is personal and confidential, and we discussed that in executive session. Um [1:11:28, 1:11:33]: But and that [1:11:34, 1:11:44]: my answer to that. I can't really discuss it and we haven't really been talking of that nature right now. So I I wish I could, but I can't. [1:11:45, 1:11:45]: Right. [1:11:46, 1:11:47]: Thank you. [1:11:48, 1:12:05]: All right, uh we'll move on to the next item on the agenda. So there's no it it I I will say there's um not much more we well let me just move on to the uh new business. There was no new business, although there is an item I wanna bring to the board that came up today. Um [1:12:06, 1:12:26]: Under old business, it's really just the purchase, uh, the pending and purchases sale agreement. It was signed uh January 31st. I think it's still being circulated for signature. Uh, I have confirmed with um city manager Mr. Knighton that we are still working with Mr. Mike Williams. Um uh Mr. Williams also gave [1:12:26, 1:12:39]: gave us the name of the attorney that would be representing the buyer. So that's as far as we know, it's still in motion, but we do not yet have a closing date for the transaction. [1:12:39, 1:12:50]: Um and as far as the second item on the agenda, the review of JLL and TSW, that's the I those are the items that I mentioned earlier in my meeting with Mr. McRae that he will be reviewing those two contracts. [1:12:51, 1:12:51]: Any [1:12:52, 1:12:54]: Questions or comments on those two updates? [1:12:56, 1:12:56]: Sure if [1:12:57, 1:13:01]: You s um Roger, you said that it was still being routed for signature. Is this signature [1:13:03, 1:13:04]: By city officials. [1:13:05, 1:13:10]: Um I've signed it, Mr. Schweigert signed it, so I think the DDA has [1:13:10, 1:13:27]: satisfied, you know, the signatures as far as the uh purchase and sale agreement. I I wasn't even aware that there was anything else pending but um till Mr till Bob mentioned it to uh today. But I I actually do recall there was a a mention of that in some of the earlier email threads about the [1:13:27, 1:13:28]: uh transaction. But [1:13:29, 1:13:35]: The the part I'm not the part that's pending now and and and and and Ms. McCray has mentioned this. So at this stage it's it's um [1:13:36, 1:13:41]: The buyer has the option for a due diligence. So if they want to inspect the building or do anything, you know, to [1:13:41, 1:13:42]: Mm-hmm. [1:13:43, 1:13:55]: you know, check, do their due diligence before they're ready to close. This is the period in which they have that option. And I think there is a 60-day period from the time it is signed, which I mark as January 31st. [1:13:55, 1:14:14]: Um, I don't know if that got delayed because you know Bob's signature may have been a little bit later. Uh, but in any case, it's six I it's at the earliest would be 60 days from January 31st to 2023. We have to complete the transaction. Now, of course, the parties can agree to delay that if needed, but right now that's the [1:14:15, 1:14:16]: That's the going assumption. [1:14:18, 1:14:20]: So um can anyone [1:14:21, 1:14:23]: Mr. Peterson or uh Councilwoman Gantt. [1:14:23, 1:14:24]: Can you all [1:14:24, 1:14:35]: add some wisdom in terms of where things are right now. Has it been completely signed? I are we within the due diligence period? And is it and is that as of January thirty first or some date after that? [1:14:40, 1:14:49]: I can consider that. I'm not certain I would have to get an update on that. And I what I'll go ahead and make note and ask Mr. Nine to give me an update so I can forward it to you all. [1:14:50, 1:14:51]: Okay. Thank you. [1:14:51, 1:14:54]: I see Miss Holiday was trying to be recognized. [1:14:55, 1:15:05]: Uh the clerk's office does have a fully executed copy. I believe it is as was stated, Mr. Sylvain is in the sixty day. [1:15:05, 1:15:11]: area where he will determine and then I think a date will be set after that expires. [1:15:13, 1:15:14]: Or before then. [1:15:15, 1:15:18]: Right. Thank you. Yeah, so yeah, Roger, so I just wanted some clarification'cause it [1:15:18, 1:15:26]: It was my understanding that everything had been signed and that, you know, nothing else was being routed per se, but that it was the sixty day [1:15:26, 1:15:28]: Uh due diligence period. [1:15:28, 1:15:31]: Thank you. Sorry if I caused any confusion with that. No, that's right. [1:15:32, 1:15:36]: All right, any other comments um regarding any of the updates? [1:15:39, 1:15:45]: Right. Um I'll open it up for general discussion. I do have an item, but uh does anyone else have anything they want to bring to the board? [1:15:49, 1:15:51]: Yes, I motion that we [1:15:52, 1:15:54]: have business cards created for [1:15:54, 1:15:55]: The DDA members. [1:15:56, 1:15:57]: Mm-hmm. [1:15:58, 1:16:02]: So we have a motion on the table for business cards uh printed for the DDA. [1:16:02, 1:16:03]: I second. [1:16:04, 1:16:06]: That was Councilwoman Gantt. [1:16:06, 1:16:08]: Yes, we've had some in the past. [1:16:08, 1:16:10]: Thank you. [1:16:11, 1:16:13]: All right, any further discussion? [1:16:14, 1:16:15]: Uh yeah, I just um [1:16:17, 1:16:18]: Uh go ahead, Barber. [1:16:19, 1:16:22]: Okay. Um just as far as contact information. [1:16:23, 1:16:24]: What would be listed? [1:16:28, 1:16:33]: I would say definitely um DA email address. [1:16:35, 1:16:36]: Okay. So not our personal phones. [1:16:39, 1:16:42]: No. I I w well I wouldn't recommend that. What do you all think? [1:16:43, 1:16:46]: No, yeah, that was gonna be my concern. I'm on board with that. [1:16:48, 1:16:49]: Probably just your email. [1:16:51, 1:16:51]: Sounds good. [1:16:52, 1:16:52]: I agree. [1:16:55, 1:16:56]: All right. [1:16:57, 1:17:17]: I I I would I guess just to add to that point, I would be fine with, you know, I'm using my personal self or DDA business. I'd be fine with listing my phone number for that purpose. If I'm handing someone my business card, I'd want them or you know, I'd want them to be able to reach me by phone. But I would say if anything, maybe we could leave that up to each individual. [1:17:17, 1:17:20]: to decide what they want on there, you know. [1:17:21, 1:17:25]: Uh but uh I'm in favor of it as far as uh business cards in general. [1:17:28, 1:17:30]: Now definitely we have a question in terms of [1:17:32, 1:17:34]: Is it going to be that logo that for the D DA? [1:17:34, 1:17:36]: Would this go through the sea? [1:17:36, 1:17:40]: Or something that we would do outside of the city. How was it done b previously? [1:17:41, 1:17:42]: Anyone know? [1:17:45, 1:17:49]: Well, you you bring up an interesting point and maybe want to speak to this [1:17:49, 1:17:50]: I'll try to do that. [1:17:51, 1:18:11]: Rap, thank you. Go ahead, can go ahead, Council McKay. All right, thank you. The DDA in the past had a website. Well, I don't know if it was a website, but they definitely had a Facebook page that we never took control over. I believe we reached out to that individual and we have to go back and look at the minutes for that. Um, we also [1:18:11, 1:18:12]: Also have a logo. [1:18:13, 1:18:15]: Um and [1:18:15, 1:18:15]: Um [1:18:16, 1:18:21]: You know, I think that we could still use that logo unless you wanted to change it. Um [1:18:22, 1:18:22]: But [1:18:23, 1:18:40]: That's as much as we have with that. We really didn't get back in contact with those particular people. I believe that the old the first DDA established that. Um and Mr. JC Williams knew the person who set everything up. [1:18:40, 1:18:41]: So [1:18:42, 1:18:50]: That's where we are. And and we can go back and try to reach back out to that individual so that we can take control over our social media as well as. [1:18:51, 1:18:58]: determine whether or not we want to keep that logo. But the logo belongs to the city. I mean to this to the DDA as well as any other [1:18:59, 1:19:03]: because it was paid with DDA funds. So it all belongs to the DDA. [1:19:03, 1:19:06]: It's just we we haven't had the access of it. [1:19:09, 1:19:14]: Well, thank you. Uh the point I was gonna add about the logo is um, you know, and I've been [1:19:14, 1:19:15]: Kind of [1:19:15, 1:19:22]: holding on some things that are not as high a priority for these meetings just in the interest of time, but [1:19:22, 1:19:35]: I'm I'm not a big fan of the logo. It doesn't really represent Stockbridge or you know the type of uh city that we are. It's just uh weird sort of corporate logo. It looks like it got for something from you know clipart. [1:19:35, 1:19:43]: Um, so I'd be more interested in having a logo or an image that aligns with the city's logo. [1:19:43, 1:19:51]: Um, you know, where community connects and maybe some version of that that incorporates the DDA to show the partnership between the city and the DDA. [1:19:51, 1:20:11]: And so that could be a stalling, not to stall it, but that could be a point to consider before we go and have prison business cards printed is maybe then we need to accelerate the idea of maybe updating the DDA logo so that you know it's more unified. That's that's my point on that. But as far as business cards in general, I'm I'm I think it's a good idea. [1:20:14, 1:20:14]: Sure. [1:20:15, 1:20:16]: Other discussion? [1:20:17, 1:20:19]: That sound uh that sounds I understand, but [1:20:19, 1:20:21]: How you why you would say that. Um I'm open to [1:20:21, 1:20:23]: Looking at a a new logo. [1:20:23, 1:20:24]: Um, you know, that [1:20:25, 1:20:27]: Incorporates all those things that you mentioned. [1:20:27, 1:20:29]: Absolutely correct part of this process. [1:20:29, 1:20:37]: Any other discussion? We have a we have a motion for uh business cards for the DDA and it was seconded. Um any other discussion? [1:20:39, 1:20:45]: All right, we'll go ahead and uh move to a vote. So all those in favor, show your hands or Barber if you'll say yes. [1:20:46, 1:20:47]: Yes. [1:20:47, 1:20:48]: All right. [1:20:49, 1:20:52]: And it looks to be unanimous. All right, great. Thank you, everyone. [1:20:53, 1:20:55]: Um any other general discussion or anything for the board? [1:20:56, 1:20:57]: and there's connectivity. [1:20:59, 1:21:19]: Um the item I wanted to bring up was I would just send it via email today and it's just the directors and officers insurance uh is come coming due in April. I would just like the board's review of the policy just to uh see if there's any interest in changing the terms of the policy. [1:21:19, 1:21:28]: I would say that to move forward with renewing the policy as it was last year, but I wanted to give you all the opportunity to uh chime in on that if you felt that we needed to. [1:21:28, 1:21:48]: um add any coverage or possibly remove any coverage compared to what we had last year. So please take a look at your email and see if there's any interest in making any edits. But we do we do need to move on that fairly quickly. So if you can let me know say by next week. If I don't hear from anyone, then we will move forward with renewing the policy [1:21:48, 1:22:01]: policy as it was last year. Touched on a little bit of my uh question. Yes. Hey, do you know um when we got the policy kind of was it just something we went online and and [1:22:01, 1:22:10]: in order or was there like an insurance broker or someone who walked us through'cause I'm not I can read it, but I don't know that I have the knowledge yet to determine if [1:22:11, 1:22:13]: the language really [1:22:13, 1:22:13]: Covers [1:22:14, 1:22:16]: Adequately, you know what I mean? [1:22:16, 1:22:17]: Right. [1:22:17, 1:22:32]: I I don't know. Uh I know that since I have joined the DDA, which was uh probably it's been this will be my third or fourth year that I've been involved in renewing the policy. It was just a renewal of the previous year's policy. So I'm not sure. [1:22:32, 1:22:34]: when it was ever um [1:22:35, 1:22:53]: You know, like whether we went through a broker, if we had a consultant that kind of helped us, well, you need to have this or you don't need to have that. I d that I don't know. If you would like them and if so you think maybe it might be a good opportunity to re revisit that? I mean, kinda like those homeowners who have insurance policy and don't realize that they don't have flood insurance, you know? [1:22:54, 1:22:55]: I just [1:22:55, 1:23:02]: Um well you I don't know. Just the point of discussion, if if it hasn't been reviewed, um [1:23:03, 1:23:09]: by anyone who really has the the you know, the bandwidth to really know what what needs to be in that policy. [1:23:10, 1:23:10]: Right. [1:23:10, 1:23:11]: Um [1:23:11, 1:23:31]: I'm I'm I'm open to that and and I think it's it's it's it's never a bad idea to especially with insurance, it can be a high ticket item, although this one I think it's somewhere in the fifteen hundred dollar uh amount for the for for all the for the entire policy for all for the entire board. What is it about? Um so it it's it's not a huge cost compared to other insurance. [1:23:31, 1:23:39]: terms. So I'm I'm open to that. I'm just not sure who to go to who would provide expertise on something like that. [1:23:40, 1:23:40]: Yeah. [1:23:42, 1:24:02]: Uh let me ask uh Mr. Peterson. I know we lean on you a lot. Do you have any uh experience with um who might be able to review the insurance policy or whether the because I'm sure the city has a similar policy for you know other maybe some of the other boards that are operated by the city. [1:24:02, 1:24:04]: I would I would consult the city. [1:24:04, 1:24:05]: Yeah. Um [1:24:06, 1:24:09]: first and uh see what they have to say about it. [1:24:09, 1:24:13]: And if not, then we can go outside, but this we could lean on the city for that. [1:24:14, 1:24:15]: And um [1:24:15, 1:24:18]: Check with um Tony McCray as well. [1:24:18, 1:24:20]: Oh, first chip with the city. [1:24:20, 1:24:40]: All right, then I'll forward to you, Mr. Peterson, what I sent to the board today. And I'll also forward it to Mr. McRae and just ask his opinion as to you know what are the key elements that we should consider or you know policy. Thank thanks a lot, Roger. Thank you. So that was really the last item I wanted to bring to the board. Um any other uh items uh for the board before [1:24:40, 1:24:41]: before we adjourn. [1:24:44, 1:24:47]: Oh, Roger, one thing that I want to say, I know you mentioned something about um [1:24:48, 1:24:48]: I guess. [1:24:49, 1:24:51]: deals that we may have received from council. [1:24:52, 1:24:52]: Um [1:24:54, 1:24:59]: I don't know if that's something we can that can be given in this meeting or if that's considered personnel. I'm not sure. [1:25:00, 1:25:01]: Um [1:25:01, 1:25:04]: But I think that would be great for members to have that information in terms of [1:25:05, 1:25:05]: Um [1:25:06, 1:25:11]: What's been paid out, if we have any outstanding invoices, you know, what we think the total is going to be. [1:25:12, 1:25:13]: You know. [1:25:15, 1:25:35]: Um, I think Barber will have a good uh accounting of that probably by our next meeting once she gets uh fully set up with uh the bank statements and the software that she's um that we've approved in our January meeting. Um as far as the outstanding invoices that are there, they're they're all um [1:25:35, 1:25:55]: There's nothing out of the ordinary. So there's some commemorative plaques that were the outgoing DDA members. There was uh DDA training, I believe for Sumiqua. There was the conference that we all attended for the downtown conference. And then the only one that's to like an outside vendor is the [1:25:55, 1:26:06]: there there's still an outstanding invoice for the master planning from TSW. They sent they sent us a late invoice back in, I don't know, it was like October for work that they did in July. [1:26:07, 1:26:27]: after we had suspended our work with them, but they had put in a few more hours and they're you know they're needing that. So that that's the only thing that's outstanding. But I've been in regular communication with them to let them know we're we're transitioning to a new treasury. It's just it's fine. We're just gonna be around before we we're done. That those expenses are all kind of regular and part of our budget. [1:26:27, 1:26:30]: So it's it I didn't I didn't think it was anything that needed like [1:26:31, 1:26:41]: you know, the board's approval or discussion unless it's something that's artificial. Understand. Yeah, and specifically I was asking about any invoices paying for uh [1:26:41, 1:26:43]: Represent council representation. [1:26:43, 1:26:47]: Oh by council. I got you. No, we haven't received any yet. [1:26:47, 1:26:48]: Okay. [1:26:48, 1:27:00]: Yeah, he just gave me a general number and um and of where they are to date. And he just said that the majority of the hours are were marked for as it relates to the uh purchase and sale agreement. [1:27:02, 1:27:02]: Thank you. Thank you. [1:27:05, 1:27:15]: I mean he did offer to send me an invoice as of where they are now, but we're so I mean, the the closing is within line of sight and I didn't I I didn't think it was really [1:27:15, 1:27:23]: This will be our second round of bulls. Any added value to have an invoice now and then another invoice in a in a month. [1:27:23, 1:27:25]: All right, any other items for discussion? [1:27:26, 1:27:27]: Right. [1:27:28, 1:27:34]: Seeing none or hearing none, so uh take a motion to adjourn if anyone wants to do so. [1:27:36, 1:27:37]: Some moved. [1:27:37, 1:27:39]: All right. Second. [1:27:40, 1:27:40]: Thank you. [1:27:41, 1:27:45]: All right, we have a motion to adjourn in a second. Any other discussion? [1:27:47, 1:27:50]: All right. All those in favor, either say yes or show your hand. [1:27:50, 1:27:51]: Ah. [1:27:51, 1:27:53]: All right. Very good. [1:27:53, 1:28:02]: Thank you everyone. I really appreciate your time and service to the board. Have a good evening. Good night. Thank you.
